Grantee shall not voluntarily or involuntarily, by operation of law or otherwise, sell, assign, transfer, lease, sublet or otherwise dispose of, in whole or in part, the Franchise and/or gas and electric system or any of the rights or privileges granted by the Franchise, to any entity not controlled by Grantee without the prior written consent of the City and then only upon such terms and conditions as may be lawfully prescribed by the City, which consent shall not be unreasonably denied or delayed provided that any transferee shall agree to accept all of Grantee's obligations under this Agreement. Any attempt to sell, assign, transfer, lease, sublet or otherwise dispose of all or any part of the Franchise and/or gas and electric system or Grantee's rights therein without the prior written consent of the City shall be null and void and shall be grounds for termination of this Agreement.
