   121.02 QUALIFICATIONS OF MEMBERS OF THE COUNCIL.
   Each member of the Council shall have resided in the Village one (1) year immediately preceding the member's election, and shall be an elector of the Village. As provided in either the Ohio Revised Code and/or Chapter 127 of the Codified Ordinances, no member of the Council shall hold any other public office, be interested in any contract with the Village, or hold other employment with the Village, except that such member may be a notary public or a member of the state militia. Any member who ceases to possess any of such qualifications or who moves from the Village shall forfeit the office.

   121.03 MEETINGS.
   (a)   Regular meeting of Council shall be held in the Council Chamber of the Village Hall or at another location in the Village at 6:30 p.m. on the third Wednesday of each month.
   (b)   The Mayor, or any three members of the Council may call special meetings upon at least twenty-four (24) hours' notice to each member, served personally or left at their usual place of residence, and email.
   (c)   A quorum is a majority of the elected members to Council. In the case of a vacancy in the Council membership, a quorum of the remaining members constitutes a quorum.
   
   (d)   The roll call of Council shall be in alphabetical order.
   (e)   Business of all regular meetings of the Council shall be transacted in the following order:
      Call to order
      Roll call of members
      Pledge of Allegiance
      Approval of Council minutes
      Mayor's Court report
      Fiscal Officer's report
      Correspondence
      Boards and Commissions reports
      Old/new business:
         Ordinances and resolutions
         Appointments and confirmations
         Or any other business
      Adjournment.
   (f)   Responsibility for preparation of the agenda for each meeting of Council shall be vested in the President of Council, in consultation with the Chairpersons of the Committees of Council, and the Clerk.
   (g)   All meetings of the Council shall be open to the public, unless an executive session is expressly authorized under Ohio Revised Code Section 121.22(G).
   (h)   The Ohio Revised Code, the Codified Ordinances of the Village of Bratenahl, including Chapters 127, Code of Conduct, and 129, Code of Ethics, the Ohio Ethics Law, and, if none of the aforementioned laws are applicable, then Robert's Rules of Order as revised from time to time, shall govern all proceedings of the Bratenahl Village Council and its Committees and it shall be the duty of the presiding officer or chairperson thereof to adhere to and enforce such rules.
    (i)   Citizen/public participation:
      (1)   Any citizen may appear and be heard at a public meeting of the Council.
      (2)   For Council meetings, the President of Council may recognize any member of the public for the purpose of addressing the Council on any matter on which Council action is required. In such cases, the person recognized shall address the Chair, state his/her name and address, and the subject matter he or she desires to discuss. Remarks must be confined to the merits of the subject at issue.
      (3)   For Council Committee meetings, the Chairperson may recognize any non-member for the purpose of addressing the Committee on any question or any matter on which Committee action is required. In such cases, the person recognized shall address the Chair, state his/her name and address, and the subject matter he or she desires to discuss. Remarks must be confined to the merits of the subject at issue.
      (4)   Speakers must be courteous and avoid discussion of personalities.
      (5)   Speakers must limit their remarks to three (3) minutes.
      (6)   Speakers must adhere to the provisions set forth in Section 129.05, Conduct at Village Meetings, of the Codified Ordinances.

   121.04 PRESIDENT OF COUNCIL.
   The Mayor shall be the president of the legislative authority and shall preside at all regular and special meetings thereof, but shall have no vote except in case of a tie.

   121.05 PRESIDENT PRO TEMPORE.
   (a)   At the first meeting in January of each year, the Council shall immediately proceed to elect a president pro tempore from its own number, who shall serve until the first meeting in January next after his/her election.
   (b)   When the Mayor is absent from the Village or is unable, for any cause, to perform his/her duties, the president pro tempore shall be the acting Mayor, and shall have the same powers and perform the same duties as the Mayor.

   121.06 VACANCY IN VILLAGE COUNCIL.
   When the office of a member of the Council becomes vacant, the vacancy shall be filled by election by the Council for the unexpired term. If the Council fails within thirty (30) days to fill such vacancy, the Mayor shall fill it by appointment.

   121.07 COMPENSATION AND BOND OF VILLAGE OFFICERS, CLERKS AND EMPLOYEES.
   The Council shall fix the compensation and bonds of all officers, clerks, and employees of the Village except as otherwise provided by law. The Council shall, in the case of elective officers, fix their compensation for the ensuing term of office at a meeting held not later than five (5) days prior to the last day fixed by law for filing as a candidate for such office. All bonds shall be made with sureties subject to the approval of the Mayor. The compensation so fixed shall not be increased or diminished during the term for which any officer is elected or appointed. This Section does not prohibit the payment of any increased costs of continuing to provide the identical benefits provided to an officer at the commencement of his/her term of office. (Ord. 3789.    121.08 COMMITTEES OF COUNCIL.
   (a)   At the first meeting of the Council in January of each even-numbered year, or as soon thereafter as may be practicable, the Mayor shall appoint, after consultation and mutual agreement, three (3) members of Council to establish the following standing Council Committees and who shall serve a period of two (2) years. The Mayor shall then choose one (1) person so appointed to act as chairperson for the Committee thereof. Such Council Committees shall be as follows:
      (1)   Finance: May consider and recommend on the budget, assessments, taxes, fees, transfer of property to or from the Village, and other financial matters.
      (2)   Public Improvements: May consider and recommend on such matters as the water supply, water and air pollution, sewers, trash disposal and the maintenance and repair of public property, and issues regarding building and housing.
      (3)   Public Safety: May consider and recommend on such matters as public health, police, fire, traffic, streetlights, use of public thoroughfares, and safety issues related to building and housing.
      (4)   Master Plan: May consider and recommend on such matters identified in the Strategic Master Plan dated December 2013 and its recommendations and milestones, and amendments.
      (5)   Committee of the Whole: May consider any matter appropriate for Council with the President of Council to preside at such Committee meeting.
      (6)   Committee of the Whole: May consider any matter appropriate for Council with the President of Council to preside at such Committee meeting.
      (7)   Additional Authorized Committees: Council may authorize any other committee deemed necessary.
   (b)   Council, by a majority vote of all its members, may also request that any of the above Committees consider and make a recommendation on a topic not listed above.
   (c)   Committees shall establish and publish notice of a regular meeting date, time, and place. Special meetings of a Committee may be called by the Chairperson upon at least three (3) days' notice. Agendas for Committee meetings shall be posted at the locations provided in Section 123.01 and on the Village's website at least three (3) days prior to the meeting date.
   (d)   Minutes shall be transcribed by a court reporter in the same manner as a regular Council meeting and the court reporter shall furnish a copy to the Village Clerk. A copy of these minutes will be part of the permanent record and shall be kept at Village Hall and be available to the public. The court reporter shall prepare and distribute draft minutes to committee members within twenty-eight (28) days of the meeting.
   (e)   A majority of the members of a committee shall constitute a quorum. In the absence of the appointed Chairperson, a quorum being present, a temporary Chairperson shall be selected by a majority vote of the members present and shall preside until the Chairperson appears, but in no event beyond such meeting.
   (f)   To avoid confusion, any member of Council attending a Village Council Committee, Commission, or Board meeting that is not the representative or a member appointed to that Committee, Commission or Board is considered a citizen at the meeting and may not "sit at the table" unless asked to do so by the Chairperson.
   (g)   No final action or a decision to present legislation or a recommendation to the Council shall take place without a majority affirmative vote of the Committee or as provided in Section 121.08(b) above.
   (h)   All meetings of the Council Committees shall follow the provisions of Chapters 127 and 129 of the Codified Ordinances, and the provisions of this Chapter 121, as revised or amended from time to time, or if none of the aforementioned laws are applicable, then Robert's Rules or Order.
