The membership of the Toledo Botanical Garden Board shall be appointed by the Mayor subject to the confirmation by majority vote of Council. The members of this Board are to be appointed for three-year terms and not less than six nor more than eight members shall be appointed annually. Vacancies in unexpired terms shall be filled in the same manner as the original appointments.

The Toledo Botanical Garden Board is formed to perform the following duties:
To guide the development and management of the Toledo Botanical Garden at 5403 Elmer Drive and to serve in an advisory capacity to Council, the Mayor and the Department of Parks, Recreation and Forestry concerning, but not limited to, construction of facilities, development of garden areas, development of programs and events, other such matters pertaining to the development and administration of the Toledo Botanical Garden as may be requested by Council or the City administration. The Board shall render periodic reports and recommendations to Council as it deems necessary.
