The Arts Council exists to enrich the lives of the citizens of the North Central West Virginia area by bringing arts and people together. As the leadership organization for the arts, the Council fulfills its mission in several ways: by supporting our member organizations in promoting artistic opportunities; by providing financial support, and fostering coordinated cultural planning; by offering programs to educate and develop future audiences; by providing forums of expression for local artists; and by advocating for arts and its member organizations at the local, state, and national levels.

(A) The Arts Council will consist of patrons and corporate sponsors. Patrons are individuals interested in fostering and supporting the objectives of the Arts Council and who pay the minimum membership dues. Corporate sponsors are businesses or recognized groups in the community interested in the objectives of the Arts Council. Financial support will be at the discretion of the sponsor, but will not be less than patron dues.
(B) Dues for the members will be determined on an annual basis by the Arts Council Board of Directors.

(A) The Board of Directors will consist of seven members authorized by the Common Council. Board members receive no compensation other than reimbursement for expenditures necessary for the transaction of the Arts Council business. The members will be appointed for one-, two-, or three-year terms.
(B) The term of office for any elected Director will be for three years. Any vacancies occurring during the term of any Director will be filled immediately by vote of the Board. The replacing Director will serve the balance of the unexpired term.
(C) The duties and powers of the Board of Directors will be to:
(1) Initiate, control, and supervise the activities of the Arts Council in such a manner as to accomplish the purposes of this organization, as stated in Article II, The Mission Statement, of the Arts Council bylaws;
(2) To make and change regulations for the management of the business and affairs of the Arts Council;
(3) To purchase and otherwise acquire for the Arts Council any property, rights, or privileges that the Arts Council is authorized to acquire; and
(4) To fix and change yearly dues and to notify the membership.
(D) Resignation from the Board must be in writing and received by the Secretary. A Board member shall be dropped for excess absences from the Board if he or she has three unexcused absences from Board meetings in a year. A Board member may be removed for other reasons by a majority vote of the remaining directors. Notification will be made in writing to any Board member prior to termination. The Board member will have seven days to request a meeting with the Board to appeal the termination.
(E) No Board member will vote on any item of business in which he or she has a vested interest. The official minutes will reflect any abstaining votes.

(A) Officers of the Arts Council will consist of a President, a Vice President, a Secretary, and a Treasurer.
(B) The duties and powers of the officers will be as follows.
(1) The President will have the power to:
(a) Preside at all regular and special meetings of the Executive Committee and meetings of the general membership;
(b) Preside at all the regular and special meetings of the Board of Directors, unless a Chairperson has been designated to preside;
(c) Call all special meetings;
(d) Take appropriate actions to carry out the resolutions and directions of the Board of Directors;
(e) Appoint committees, with the approval of the Board of Directors; and
(f) Conduct the business of the Arts Council between meetings, with the concurrence of the Board of Directors.
(2) The Vice-President will have the power to:
(a) Assume all duties and powers of the President in his or her absence;
(b) Be a Chairperson of the Membership Committee; and
(c) Be a member of the Program Committee.
(3) The Secretary will have the power to:
(a) Keep and distribute appropriately accurate minutes of all meetings of the Board of Directors;
(b) Advise the members of special meetings;
(c) Carry out the correspondence of the Arts Council not delegated to other officers or committees; and
(d) Serve as the Arts Council Historian.
(4) The Treasurer will have the power to:
(a) Collect and keep in proper custody all funds of the Arts Council and to expend such funds only in the manner and for the purposes designated by the Board of Directors;
(b) Be Chairperson of the Budget Committee; and
(c) Arrange for an annual audit to be conducted by March of each year.
