§ 32.067 BOARD OF DIRECTORS.
   (A)   The Board of Directors will consist of seven members authorized by the Common Council. Board members receive no compensation other than reimbursement for expenditures necessary for the transaction of the Arts Council business. The members will be appointed for one-, two-, or three-year terms.
   (B)   The term of office for any elected Director will be for three years. Any vacancies occurring during the term of any Director will be filled immediately by vote of the Board. The replacing Director will serve the balance of the unexpired term.
   (C)   The duties and powers of the Board of Directors will be to:
      (1)   Initiate, control, and supervise the activities of the Arts Council in such a manner as to accomplish the purposes of this organization, as stated in Article II, The Mission Statement, of the Arts Council bylaws;
      (2)   To make and change regulations for the management of the business and affairs of the Arts Council;
      (3)   To purchase and otherwise acquire for the Arts Council any property, rights, or privileges that the Arts Council is authorized to acquire; and
      (4)   To fix and change yearly dues and to notify the membership.
   (D)   Resignation from the Board must be in writing and received by the Secretary. A Board member shall be dropped for excess absences from the Board if he or she has three unexcused absences from Board meetings in a year. A Board member may be removed for other reasons by a majority vote of the remaining directors. Notification will be made in writing to any Board member prior to termination. The Board member will have seven days to request a meeting with the Board to appeal the termination.
   (E)   No Board member will vote on any item of business in which he or she has a vested interest. The official minutes will reflect any abstaining votes.
