It shall be the duty of the Commission to promote the purposes and objectives of this chapter and to review plans and applications, as hereinafter provided, for all construction to historic properties, including modifications to existing properties, demolitions, and construction of new buildings. The Commission shall have the power to approve, approve with modifications, or deny approval of such applications in accordance with procedures provided herein and the standards established herein and the guidelines.

MEETINGS; RULES AND RECORDS
Regular meetings for transaction of business of the Commission may be held with such frequency as the Commission may determine, but not less than four times a year. The agenda for all meetings will be posted at City Hall at least 24 hours prior to the meeting.

The first regular meeting following the beginning of the city’s fiscal year shall be designated the annual organizational meeting for the election of officers and organization of the Commission.

Special meetings of the Commission may be held at any time upon call by the Chairman. Notices of the meeting shall be posted at the City Hall at least 24 hours prior to the meeting and sent to the news media as required by the Freedom of Information Act.

When required upon the provisions of this chapter, public hearings shall be held by the Commission. Unless postponed for reasonable cause, any such hearing shall be held within 30 days after the Commission has been notified of the filing of appropriate application or petition concerning the matter in question.

All meetings of the Commission shall be open to the public and reasonable notice of the time and place shall be given to the public. Notices of all meetings, regular and special shall be posted at the City Hall at least 24 hours prior to the meeting and sent to the news media as required by the Freedom of Information Act “FOIA.”

The Commission shall adopt rules of procedure and shall keep records or minutes of its proceedings showing the vote of each member upon question, or if absent or failing to vote, indicating that fact, and shall keep records of its examinations and other official actions, all of which immediately will be filed in the Building Department and will be public record. Minutes of meetings shall be provided to City Council. These rules will govern the application process for any review undertaken by the Commission and will be in compliance with state law and due process requirements of the United States Constitution. Such rules and all records will be a public record and shall be maintained in accordance with FOIA, the provisions of which shall govern the Commission and its activities as a constituted body. A quorum, consisting of a majority of the total membership of the Commission, shall be required to conduct business.

Decisions or actions by the Commission shall be by a majority vote of qualified members present (either physically or by telephonic or other electronic means) and voting, providing a quorum is present. Proxy votes shall not be permitted.
