The City shall have the right to inspect, at all reasonable times, any portion of the facilities. The City shall also have the right to inspect and conduct an audit of Company records relevant to compliance with any terms of this franchise at all reasonable times, but no more than once per year. The Company agrees to cooperate with the City in conducting the inspection and/or audit and to correct any discrepancies affecting the City's interest in a prompt and efficient manner. The City shall pay the cost of such audit, provided that no irregularities are found.
