(A) Establishment. There is hereby established a Kenly Tourism Committee in the Town of Kenly hereby known as the Tourism Committee.
(B) Purpose. The Tourism Committee shall serve as an advisory body to the Johnston County Visitors Bureau, which is legislated to expend 2% occupancy tax funds on behalf of the Town of Kenly.
(C) Offices. The principal office of the Committee shall be in the County of Johnston, Town of Kenly.
(D) Committee members.
(1) Composition. The Committee shall consist of not less than 9 members. Each member shall be appointed by the Town Council. The following positions or representatives of the following interests shall comprise the Tourism Committee:
(a) Kenly Town Manager (or designee);
(b) Johnston County Tourism Authority Executive Director (or designee);
(c) Kenly Chamber of Commerce Chairman (or designee); and
(d) Six at-large Kenly business representatives.
(2) Term of office. The 10 members of the Committee as designated above shall serve for 3-year terms except those members appointed to the initial Committee, who shall serve terms as hereinafter set out in order to establish a system of staggered terms. One member shall serve a 1-year term; 3 shall serve a 2-year term; and 2 shall serve a 3-year term. The Town Manager, the Executive Director of the Johnston County Tourism Authority (or their designee) and the Kenly Chamber of Commerce Chairman shall be appointed as permanent voting members. As the terms of the initial members of the Committee shall expire, their successors shall be appointed for 3-year terms. Each member of the Committee shall serve until his successor is duly appointed as above provided. Terms shall be effective July 1 of each year.
(3) Resignation. Any appointed member may resign at any time by giving written notice of such resignation to the Town Council.
(4) Vacancies. Any vacancy in the Committee occurring during the year, may be filled for the unexpired portion of the term by the appointment of the Town Council. Any Committee member so appointed shall serve the unexpired term of a Committee member he or she is replacing.
(5) Regular meetings. The regular meeting of the Committee shall be held at the Town Hall on the second Thursday of each odd numbered month for the purpose of any business.
(6) Special meetings. Special meetings of the Committee may be called by the Chairman.
(7) Notice of meetings. Written or printed notice stating the time and place of the meeting shall be delivered not less than 2 nor more than 10 days before the date thereof, either personally or by mail, at the direction of the Chairman to each committee member. In the case of a special meeting, the notice of meeting shall specifically state the purpose or purposes for which the meeting is called. The "N.C. Open Meetings Law" G.S. § 143-318.10 applies to this committee.
(8) Chairman. At all meetings of the Committee the Chairman, or Vice Chairman, or in their absence a Chairman chosen by the committee members present, shall preside.
(9) Quorum. At any meeting of the Committee the presence of 50% + 1 of the Committee members in person shall be necessary to constitute a quorum for all purposes except as otherwise provided by law, and the act of a majority of the Committee members present at any meeting at which there is a quorum shall be the act of the full Committee. At any meeting at which a quorum shall be present, any business may be transacted which might have been transacted at the meeting as originally notified.
(10) Compensation. Committee members shall not receive any stated salary for their services as such, but by approval of the Town Manager, actual expenses of service may be reimbursed.
(11) Removal of Committee members or officers. Any Committee member or officer may be removed from office by the affirmative vote of a majority of the Town Council, at any regular or special meeting called for that purpose, for conduct detrimental to the interests of the Committee.
(12) Powers. The Kenly Tourism Committee is an advisory body to the Johnston County Visitors Bureau, which is legislated to expend 2% occupancy tax funds on behalf of the town. The committee shall:
(a) Make recommendations to the Johnston County Visitors Bureau on marketing materials, advertising programs, interstate billboard campaigns, and other marketing efforts related to the town;
(b) Advise the Johnston County Visitors Bureau and Kenly Town Council on other marketing-related issues as needed.
(E) Officers.
(1) Number. The officers of the Committee shall consist of a Chairman and a Vice Chairman.
(2) Election, term of office, and qualifications. The officers shall be elected annually at the first meeting of each calendar year by the members of the Committee from among their number.
(3) Vacancies. In case any office of the Committee becomes vacant by death, resignation, retirement, disqualification, or any other cause, the majority of the Committee then in office, may elect an officer to fill such vacancy, and the officer so elected shall hold office and serve until the next annual election of the officers and until the election and qualification of his or her successor.
(4) Chairman. The Chairman shall preside at all meetings of the Committee. He shall have and exercise general charge and supervision of the affairs of the Committee and shall do and perform such other duties as may be assigned to him by the Committee.
(5) Vice Chairman. The Vice Chairman shall in the absence or disability of the Chairman, perform the duties and exercise the powers of that office.
(6) Removal.
(a) Any officer may be removed from office by the affirmative vote of two-thirds of all the Committee members at any regular or special meeting called for that purpose, for nonfeasance, malfeasance, or misfeasance, or conduct detrimental to the interests of the Committee, or for refusal to render reasonable assistance in carrying out its purposes.
(b) Any officer proposed to be removed shall be entitled to at least 5 days' notice in writing by mail of the meeting of the Committee at which such removal is to be voted upon and shall be entitled to appear before and be heard by the Committee at such meeting.
(F) Fiscal year. The fiscal year of the Committee shall begin July 1.
(G) Budget. The Committee will operate under such budget, if any, as may from time to time be established by the annual budget ordinance of the Town of Kenly, but an expenditure therefrom shall be made only upon approval of the Town Manager and in accordance with ordinance and statutory requirements.

(A) Establishment; qualifications. An Appearance Committee is hereby established consisting of 5 members who shall be residents of the municipality's area of planning and zoning jurisdiction at the time of appointment and 1 ex officio member who shall be a member of the Town Council. The ex officio member shall not be a voting member. The Town Council may invite individuals who have demonstrated special training or experience in a design field, such as architecture, landscape design, horticulture, city planning or a closely related field to join the Committee in their discussions and duties, it is not the intent of this section to create an appearance commission governed by GS § 160A-451, Part 7.
(B) Tenure. Members of the Appearance Committee shall be appointed to serve terms of 3 years, and until their respective successors have been appointed and qualified. The terms of the original members may be staggered so that all terms do not expire simultaneously. Vacancies shall be filled for the unexpired term only. Terms of office begin on July 1.
(C) Officers. The Appearance Committee shall elect one member to serve as Chairman and preside over its meetings, and shall create and fill other such offices and committees as it may deem necessary. The term of the Chairman and other offices shall be 1 year, with eligibility for reelection to a second term.
(D) Duties of the committee. The Committee, at the direction of the Town Council, is authorized and empowered to undertake such actions reasonably necessary to the discharge and conduct of its duties and responsibilities including, but not limited to:
(1) To initiate, promote, and assist the Town Council in the implementation of programs of general community beautification in the Kenly community;
(2) To review and make recommendations to the Town Council regarding the appropriateness of improvement to public facilities, including buildings, landscapes, anal signs;
(3) To provide leadership and guidance to the Town Council in matters of community design and appearance to individuals and public gnd private agencies and organizations, and to develop programs to recognize those individuals and organizations making improvements to community appearance;
(4) To serve as a participating member of federal, state, and local organizations whose programs bear on community appearance;
(5) To prepare for the Town Council both general and specific plans for the improved appearance of the entire community or any portion thereof, including private as well as public property. Such plans shall set forth desirable standards and goals for the aesthetic enhancement of the community or any portion thereof, including public ways and areas, open spaces, public and private buildings and projects;
(6) To formulate and recommend to the Planning Board and the Town Council the adoption or amendment of any ordinance that may affect the appearance of the community.
(E) Meetings. The Committee shall establish a regular meeting schedule, and shall meet at least quarterly and more often as it shall determine and require. All meetings of the Committee shall be open to the public, and reasonable notice of the time and place thereof shall be given to the public. The Committee shall keep a record of its meetings, including attendance of its members, its resolutions, findings, recommendations and actions.
(F) Attendance at meetings. Any member of the Appearance Committee who misses more than 3 consecutive meetings, or more than half the regular meetings in a calendar year, shall constitute grounds for the loss of status as a member of the Committee, and may be replaced by the Town Council as appropriate. Absence due to sickness, death, or other emergency of like nature shall be recognized as an excused absence, and shall not affect the member's status on the Committee, except that in the event of a long illness or other such cause for prolonged absence, the member shall be replaced.
(G) Quorum. A quorum of the Committee, necessary to take any official action shall consist of 3 members.
(H) Fiscal year. The fiscal year of the Committee shall begin July 1.
(I) Budget. The Committee will operate under such budget, if any, as might from time to time be established by the annual budget ordinance of the Town of Kenly, but an expenditure therefrom shall be made only upon approval of the Town Manager and in accordance with ordinance and statutory requirements.

PLANNING BOARD
(A) The Planning Board shall consist of 1 ex officio member who shall be the member of the Town Council in charge of planning, 4 members who shall be citizens living within the corporate limits of the Town of Kenly, 1 member who shall be a resident of Johnston County living within the area of Kenly's extraterritorial jurisdiction, and 1 member who shall be a resident of Wilson County living within the area of Kenly's extraterritorial jurisdiction, for a total of 7 members.
(B) The 4 non-ex officio members residing within the Town of Kenly shall be appointed by the Town Council. The member residing in Johnston County within the extraterritorial jurisdiction of the Town of Kenly shall be appointed by the Board of County Commissioners of Johnston County, upon receipt of a resolution from the Town Council requesting that the appointments be made. The member residing in Wilson County within the extraterritorial jurisdiction of the Town of Kenly shall be appointed by the Board of Commissioners of Wilson County, upon receipt of a resolution from the Town Council requesting that the appointment be made. In the event that the appropriate Board of County Commissioners fails to make the appointments requested within 90 days of receipt of the resolution, the Town Council shall make the appointments.
(C) The initial appointments shall be made according to the following terms.
(1) In-town members.
(a) One member for 1 year;
(b) One member for 2 years; and
(c) Two members for 3 years.
(2) Extraterritorial members.
(a) One member from Johnston County for 1 year; and
(b) One member from Wilson County for 1 year.
(D) Their successors shall be appointed for terms of 3 years. Terms shall expire on the thirtieth day of June. Members shall serve until the expiration of their terms or until their successors are appointed, whichever is later.
(E) Vacancies occurring for reasons other than the expiration of terms shall be filled for the period of the unexpired term by the legislative body responsible for the original appointment.
(F) Faithful attendance at the meetings of the Planning Board is considered a prerequisite for the maintenance of membership on the Board. Unexcused absence from 3 consecutive meetings shall be deemed adequate reason for termination of membership on the Planning Board by the Town Council.

The Planning Board shall elect a Chairperson and may create and fill the other offices as it may deem necessary. The ex officio member shall not be eligible to be an officer of the Planning Board. The term of officers shall be 1 year or until successors shall have been elected and installed, with eligibility for reelection. Vacancies in officers' positions prior to expiration of terms shall be filled for the period of the unexpired term by the Planning Board. The Board shall adopt rules for transaction of its business and shall keep a record of its members’ attendance and of its resolutions, discussions, findings, and recommendations, which record shall be a public record. The Board shall hold at least 1 meeting monthly unless there is no business to be discussed or acted upon, and all of its meetings shall be in accordance with G.S. Ch. 160A. A quorum shall consist of 4 members for the purpose of taking any official action required by §§ 32.15 et seq. All members of the Board, including the ex officio member, shall have voting power on all matters of business. However, any member who is a party at interest to matters under consideration by the Board shall declare the interest prior to a vote of the Board on the question, and shall abstain from voting on the question. This provision shall not prohibit the members from participation in discussions of the Board on the matters prior to a vote.
