LOCO DAZE COMMITTEE
§ 31.15 NAME.
   The name of this committee shall be the “Dilworth Loco Daze Committee.”

§ 31.16 PURPOSE.
   (A)   Dilworth Loco Daze is organized for community civic celebration purposes.
   (B)   The purpose of this Committee is:
      (1)   To hold an annual community celebration;
      (2)   To develop a variety of activities for all ages; and
      (3)   To promote the community, its heritage and history.

§ 31.17 MEMBERSHIP.
   (A)   Appointment. Membership shall consist of no more than 16 voting members. All voting members shall be appointed by the City Council. The City Council shall appoint one of its members to serve as a non-voting member on the Loco Daze Committee and may also select an alternate from the Council to serve in the absence of this member.
   (B)   Terms. The term of each member shall be from January 1 through December 31 of each year and shall be appointed annually by the City Council at its first meeting in January. The appointed member from the City Council shall also be appointed by the City Council at the first meeting in January. No action to change the size of the Committee shall be taken except upon a two-thirds vote of all the members of the City Council, and no such action shall be taken until at least three years after the last resolution or ordinance modifying the size of the Committee.
   (C)   Removal. Members shall be subject to removal only for cause, after a hearing, by a two-thirds vote of all Council members. Failure to attend three consecutive meetings, without justification, shall be basis for removal.
   (D)   Vacancies. Vacancies created during a term shall be filled by a recommendation of the Loco Daze Committee and appointed by the City Council for the unexpired portion of the term.

§ 31.18 MEETINGS OF MEMBERS.
   (A)   Regular meetings. Regularly scheduled meetings shall be held as agreed to by the Loco Daze Committee or as deemed necessary by the Chairperson.
   (B)   Annual meeting. An annual meeting shall be held in the fall each year at a date, time and location to be set by the Chairperson and the Loco Daze Committee. At the annual meeting, the Committee will elect officers, receive a financial report, review details of the current year’s celebration and establish dates for future celebrations.
   (C)   Special meetings. Special meetings may be called by the Chairperson or a majority of the Committee.
   (D)   Notice of meetings. Printed notice of each meeting shall be given to each voting member, by mail or e-mail. All Committee members’ names shall appear on the mail or e-mail notices.
   (E)   Quorum. Four members must be present for business transactions to take place and motions to pass (this number may be revised if the City Council decides to reduce the number of members). If the Chairperson feels a majority of the voting members should vote on the issue at hand in place of a meeting, he or she shall have the authority to call for a paper ballot vote by mail or e-mail on said issue. (A simple majority is necessary to pass a motion if four or more members are present.)

§ 31.19 OFFICERS AND DUTIES.
   (A)   Officers. There shall be three officers on the Committee, consisting of a Chairperson, Vice-Chairperson and Secretary/Treasurer. (All officers are considered voting members.)
   (B)   Duties of the Chairperson. The Chairperson shall convene regularly scheduled Committee meetings. He or she shall preside over the meetings or arrange for the Vice-Chairperson or Secretary/Treasurer to preside over the meeting(s) in his or her absence.
   (C)   Duties of the Vice-Chairperson. The Vice-Chairperson shall preside at Committee meetings in the absence of the Chairperson.
   (D)   Duties of the Secretary/Treasurer. The Secretary/Treasurer shall be responsible for keeping records of Committee actions, including taking minutes at all Committee meetings, sending out meeting announcements, distributing copies of minutes and the agenda to each Committee member and assuring that meeting minutes are maintained.
   (E)   A financial report. A financial report shall be provided by the City Finance Officer as requested by the Chairperson.
