The cooperative, its successors and assigns, shall during the term of this franchise hold the village of Cloudcroft harmless against any and all damages that may be caused by reason of the construction and operation of cooperative's electric distribution system in Cloudcroft to any and every person or persons that may be damaged by reason of the construction or operation of such distribution system, and the cooperative, its successors and assigns, shall defend or cause to be defended at its own expense, all actions that may be commenced against the said village for damages caused by reason of the construction or operation of such transmission and distribution system.
