The village and the company recognize the existence of and validity of ordinances 338 and 338A, previously granting a franchise to Tularosa Basin Telephone Company ("company"), and agree that the prior franchise has been extended by mutual agreement in order to negotiate this agreement, it being the intent and understanding that there are no claims by the village against Tularosa Basin Telephone Company or the company and no claims by Tularosa Basin Telephone Company or the company against the village with respect to the locations, establishment, construction, maintenance or operation of the company's lines and facilities within the village, or amounts due to the village under the prior franchise.
