UTILITY BOARD
There is created the City Utility Board, composed of up to eight members, two of which shall be City Commission members, and up to six who shall be and remain residents of the city, and shall be appointed, or removed, at the pleasure of the City Commission. The members of the Board shall serve without compensation, except Board members may be reimbursed for expenses incurred while carrying out their duties as Board members, and they shall serve for five years, except that one of the original appointments shall be for one year, one shall be for two years, one shall be for three years, one shall be for four years, and two shall be for five years respectively. The term of appointment for the City Commission members shall be for two years, to terminate and begin when the City Commission reorganizes as specified by the Charter. Vacancies, whether by resignation, removal, or otherwise, shall be filled in the usual manner by the City Commission for the remainder of the term. No citizen shall be eligible for appointment herein who is an employee of the city. City staff representatives to the Board shall be the Director responsible for water and wastewater services, the Director responsible for sanitation services, and the Utility Business Office manager. Staff members shall serve as advisors to the Board.

The Utility Board shall meet upon there being business to discuss, but no less than once a quarter. All meetings of the Board shall be announced in advance and open to the public. The members shall elect a Chairperson and a Vice-Chairperson annually. An election of officers of the Board shall be held at the first regular meeting at which all members are present following the appointment of a new Board member for a full term, but not later than the second meeting following the appointment. No Board member shall serve as Chairperson for more than three consecutive years. The city staff shall cause the records of the Board to be prepared and preserved. A majority of the members shall constitute a quorum, and all official actions of the Board shall require a majority vote of the members of the full Board.

(A) The Board shall consult with and advise the City Commission on the operation, management, and control of the city utilities to include the Piqua Water System, Wastewater, Stormwater and the Sanitation Department. Recommendations made by the Board may relate to the following:
(1) Expenditures, revenues, and charges to the utility systems.
(2) Annual budget and appropriation ordinances in relation to the utility systems.
(3) Relevant utility systems bond ordinances.
(4) Capital improvements and expansion plans for the utility systems.
(5) Rates for the utility systems.
(6) Efficient management of the utility systems and the rules and regulations thereof.
(7) Any utility related issue the Board may deem pertinent to the utility concerns and operations within the jurisdiction of the city.
(B) All actions, functions, and responsibilities of the Utility Board are to be directed generally to those actions, functions, and responsibilities described above, and shall not be inconsistent with the legal requirements of the Charter, state laws, or other regulatory agencies having jurisdiction. The adopted recommendations of the Utility Board shall not be binding, but shall be given priority consideration by the City Commission. All policies or administrative policy pertaining to divisions (A)(1) through (7) above shall first be referred to the Utility Board for their recommendations before being considered by the City Commission. The Board shall submit an annual report on their observations and conclusions in relation to the operation, management, and control of the utility systems.
(C) The City Manager, the Law Director, and the Finance Director shall, upon the Board's request, supply assistance and information and assist the Board in administrative, legal, and financial aspects of the Board's recommendations and areas of responsibility.
