Sec. 2-315. - Organized; purposes; powers.
(1)   Pamela Miller, Jane Vimont and Michael Kannensohn, all being residents of the county, are hereby authorized and requested to serve as incorporators for and to organize a non-profit non-stock Kentucky corporation under the provisions of chapter 273 of the Kentucky Revised Statutes, to be named "Lexington Children's Museum, Inc.," and hereinafter referred to as "corporation."
(2)   The corporation is organized for the following purposes:
(a)   To provide children with diverse experiences for learning through the five (5) senses; to educate, stimulate, challenge and encourage divergent thinking in children by providing access to objects and artifacts that are not found at home, by exposing and connecting them to other children to explore and learn without formal instruction and with little or no supervision; to encourage the habit of life-long, self-directed learning through museums.
(b)   To enhance Lexington's quality of life and its reputation as a cultural center by providing a facility that will contribute to the city's cultural environment and appeal across racial and class lines; to provide an environment for interaction between child and parent or other care-giver and provide opportunities for families to engage in learning activities that need not be scheduled in advance; to be physically and intellectually accessible to all, including the developmentally and physically handicapped and the learning disabled.
(3)   The corporation shall possess all the powers conferred upon a corporation organized under chapter 273 of the Kentucky Revised Statutes dealing with non-profit non-stock corporations and shall have all powers necessary, proper, convenient or desirable in order to fulfill and further the purposes of the corporation. The chairperson and other officers of the corporation shall be elected by the board of directors and shall comprise an executive committee, which is authorized to act on behalf of the corporation in performing management and business-related functions.
