PLANNING BOARD
(A) The Planning Board shall consist of seven members who shall be citizens and residents of the village, and who shall be appointed by the Village Council for a term of one year beginning January 1 of each year and continuing until December 31 of the following year or until their successors are elected. The current five members of the Planning Board and the two additional members to be appointed by the Village Council shall serve until December 31, 1993.
(B) Vacancies occurring for reasons other than expiration of term shall be filled as they occur for the unexpired remainder of the term. Faithful attendance at meetings of the Board is to be considered a prerequisite to continued membership, and the Village Council may remove and replace any member continually delinquent in his duty to attend.

The Planning Board shall elect a chairperson and create and fill such other offices as it may determine. The term of the chairperson and other officers shall be one year, with eligibility for re- election. The Board shall adopt rules for transaction of its business and shall keep a record of its members' attendance and of its resolutions, discussions, findings and recommendations, which record shall be a public record. The Board shall meet quarterly and at other times upon the call of the Chairperson of the Board. All of the meetings of the Board shall be open to the public.

(A) Voting. Before taking action on any matter there shall be present a quorum of four members. Action shall be taken by a majority vote of members present.
(B) Conflicts of interest. Members of the Planning Board shall not vote on any advisory or legislative decision regarding a development regulation adopted pursuant to this title where the outcome of the matter being considered is reasonably likely to have a direct, substantial, and readily identifiable financial impact on the member. An appointed Board member shall not vote on any zoning amendment if the landowner of the property subject to a rezoning petition or the applicant for a text amendment is a person with whom the member has a close familial, business, or other associational relationship.
(C) Resolution of objections. If an objection is raised to a Board member’s participation at or prior to the hearing or vote on a particular matter and that member does not recuse himself or herself, the remaining members of the Board shall by majority vote rule on the objection.
