The Board shall have the following duties and functions:
(a) To organize by January 30th of each year by electing a chairman, vice chairman, secretary and adopting general operating rules and a mission statement.
(1) The chairman and vice chairman shall be members of the board and the secretary may be elected from within or without the membership of the Board.
(2) In the absence of the chairman or in the event of a vacancy in said office the vice chairman shall exercise the powers of the chairman.
(3) The secretary shall keep an accurate and complete record of the proceedings of the Board.
(4) The secretary shall file a copy of its proceedings with the Clerk of Council for public inspection.
(b) To take action by motion.
(1) A majority vote of the members of the Board shall be necessary to take action.
(2) A majority of the members shall constitute a quorum.
(3) Board members shall refrain from voting on issues that may be deemed a conflict of interest and any issue in which they have a financial interest
(c) To authorize expenditures of moneys and the awarding of contracts for tourism and promotional purposes in accordance with Ordinances of the City and the Ohio Revised Code.
(1) Any purchase order submitted by the Board shall bare the signature of the secretary and the chairman or vice chairman.
(2) All expenditures or contracts in excess of five thousand dollars ($5,000) shall be subject to the approval of a majority of Council.
(3) All expenditures and contracts are subject to provisions set by these ordinances or the relevant chapters of the Ohio Revised Code.
(d) To adopt rules for the conduct and government of the Board, however, the rules shall not conflict with the ordinances and resolutions of the City.
(e) To report to Council on a quarterly basis the progress and activities of the Board.
(f) The Board shall meet at City Hall.
(g) The Board shall give twenty-four hour notice of meetings to a newspaper in general circulation within the City along with any other media outlet requesting notification.
(h) The Board shall perform such other powers, duties and functions as conferred on it by Ordinance or Resolution of the City.
