169.02 ESTABLISHED.
   There is hereby created a Tourism Board consisting of seven members to be appointed as follows:
   (a)   Seven Members shall be appointed for overlapping three-year terms of office by the Mayor and confirmed by a majority vote of the members of the Council.
   (b)   The Mayor shall divide his first appointments under this chapter into two classes. The first class shall consist of three individuals with a term expriring on December 31, 2008 and every three years thereafter. The second class shall consist of four individuals with a term expiring on December 31, 2009 and every three thereafter.
   (c)   The Mayor shall appoint at least three residents of the City to be members of the Board.
   (d)   The Mayor shall appoint the remaining four members at his or her discretion and said members need not be residents of the City.
   (e)   No more than four of such seven members shall be for the same three-year period.
   (f)   Members of the Board shall serve with no compensation.
   (g)   Members of the Board may be removed for cause by a three-forth vote of Council.
   (h)   A vacancy during the term of any member of the Board shall be filled for the unexpired term, if any, in the manner authorized for an original appointment; provided that if the Mayor shall fail to fill the vacancy within thirty days, the Council shall fill any such vacancy by a majority vote.
   (i)   The Mayor, or his or her designee, shall be an ex-officio member of the Board.
      (1)   In such capacity, the Mayor or the designee may, but shall not be required to attend meetings of the Board.
      (2)   The Mayor or the designee may participate in discussions on any matter before the Board, but the Mayor or the designee shall not be entitled to vote on any matter before the Board.
   (j)   The President of Council shall appoint a Member of Council to act as an ex- officio member of the Board.
      (1)   In such capacity, the designated Council member may, but shall not be required to attend meetings of the Board.
      (2)   The designated Council member may participate in discussions on any matter before the Board, but the designated Council member shall not be entitled to vote on any matter before the Board.
   (k)   The Law Director shall be the legal advisor to the Board, in such capacity the Law Director may, but shall not be required to attend meetings of the Board.
   (l)   The Auditor shall be the chief fiscal officer of the Board, in such capacity the Auditor may, but shall not be required to attend meetings of the Board
