A Port Authority is hereby created jointly with Perrysburg Township pursuant to Ohio R.C. 4582.21 to 4582.59. The Port Authority shall be organized and governed in accordance with the following provisions:
(a) The Port Authority shall be created for the benefit of the people of the State of Ohio and for the service of the public as specified in Ohio R.C. 4582.46.
(b) The Port Authority will be a separate body corporate and politic which may sue and be sued, plead and be impleaded, and will have the powers and jurisdiction enumerated in Ohio R.C. 4582.21 to 4582.59 inclusive.
(c) The jurisdiction and territory of such Port Authority shall include all of the area of the City of Rossford and all of the unincorporated area of Perrysburg Township.
(d) The Port Authority hereby created, being a new Port Authority created after July 9, 1982, shall have all powers, privileges and immunities set forth in Ohio R.C. Chapter 4582.
(e) As authorized by Ohio R.C. Chapter 4582, the City of Rossford may appropriate and expend public funds not otherwise appropriated to finance or subsidize the purposes of the Port Authority.
(f) The Port Authority shall have a total of five directors, two appointed by the City of Rossford, two appointed by Perrysburg Township, and one jointly appointed by the City of Rossford and Perrysburg Township. The directors appointed by the City of Rossford shall be appointed by the Mayor subject to confirmation by Council.
(g) The directors of the Port Authority shall serve four-year terms, however, the initial terms shall be staggered as follows:
(1) The first director shall be appointed by the City of Rossford and serve an initial one-year term;
(2) The second director shall be appointed by Perrysburg Township and serve an initial two-year term;
(3) The third director shall be appointed by the City of Rossford and shall serve an initial three-year term;
(4) The fourth director shall be appointed by Perrysburg Township and serve an initial four-year term; and
(5) The fifth director shall be appointed jointly by the City of Rossford and Perrysburg Township and shall serve an initial four-year term.
(h) The Port Authority directors shall receive no compensation for their services but may be reimbursed for all reasonable expenses.
(i) The powers of the Port Authority shall not be restricted in accordance with Ohio R.C. 4582.22(B).
(j) In the event the Port Authority is dissolved, its assets shall be distributed in accordance with law and in proportion to the relative contributions of the City of Rossford and Perrysburg Township.
