139.03   LITIGATION AND CLAIMS.
   (a)   The Director of Law is hereby authorized, without the necessity of further action of Council, to defend and act as legal counsel for all complaints, suits and other controversies naming, as a party, the City, any board or agency of the City or the Parma Municipal Court.
   (b)   The Director is hereby authorized to defend and act as legal counsel for all complaints, suits and other controversies naming, as a party, any official or employee of the City, any board or agency thereof or any judge or employee of the Parma Municipal Court, whether named in their official or individual capacities, provided that Council has so provided, pursuant to Section 173.16, prior to or within sixty days after having entered an appearance with the court or other agency hearing the matter.

   (e)   The Director is hereby authorized to prosecute complaints, suits and controversies in the name of the City, any board, officer or agency thereof, or the Parma Municipal Court, at the direction of the officer, board or agency concerned, without the necessity of further action of Council. Written notice shall be given to Council of all actions brought in the name of the City.
   (f)   With respect to any complaints, suits or other controversies brought in the name of the City, any board, officer or agency thereof, or the Parma Municipal Court, the Director may, with the advice and consent of the officer or agency involved, consent to the settlement of any matter. The annual report of the Director to Council shall note all funds so received by the City.
   (g)   With respect to any action to be prosecuted or defended by the Director, he or she may disqualify himself or herself and his or her office from acting as legal counsel when he or she finds and determines that ethical considerations so require.
   (h)   Whenever special legal counsel is, for any reason, desired to be employed for the City or for any board, officer or agency thereof, such special counsel shall be employed only with the approval and under the supervision of the Director.
