In accordance with the Constitution of the Parma Community General Hospital Association, the City's Parma Hospital Review Board (the "Parma Board") shall consist of two residents of the City who shall be appointed by the Mayor, with the consent of a majority of Council. However, no person shall become a member of the Parma Board who is a doctor of medicine, an osteopath, a dentist, a chiropractor or a veterinarian. Further, no person shall become a member of the Parma Board who either holds an elected office or has been convicted of a felony or of a misdemeanor involving moral turpitude.
For purposes of this chapter, a resident of the City qualified to be a member of the Parma Board shall include a resident of Cuyahoga County who is not a resident of the City, but is either:
(a) The chairperson of the board, president, vice-president, secretary, treasurer or comptroller of a corporation that maintains, in the City, an executive office, place of business or plant, at any of which at least 100 persons are regularly employed, provided that in the event that none of the persons holding any of the aforedescribed offices of such a corporation shall reside in Cuyahoga County, the person who is the managing agent of any such office, place of business or plant may become a member of the Parma Board as the representative of such corporation;
(b) The sole owner of a proprietorship that maintains, within the City, an executive office, place of business or plant, at any of which at least 100 persons are regularly employed; or
(c) An unlimited partner of a partnership that maintains, within the City, an executive office, place of business or plant, at any of which at least 100 persons are regularly employed.
In the event that a person who is a member of the Parma Board shall cease to meet the aforementioned qualifications for membership on the same, he or she shall become ineligible for continued membership on the Parma Board and his or her membership shall terminate. Should any person who is a member of the Parma Board fail to attend three consecutive properly called and held meetings of the Parma Community General Hospital Association's Board of Trustees, without approval of said Board of Trustees, such person shall become ineligible to continue as a member of the Parma Board.
