The Commission shall consist of the Mayor and nine members, which shall be appointed by the Mayor, subject to the advise and consent of Council. The members of such Commission shall serve without pay for three-year terms. Expirations shall be scheduled over three, three and four per year alternately. Members are eligible to serve additional terms when nominated and approved. The City Treasurer and one member of Council shall be ex officio members of such Commission.

When any vacancy occurs, due to any reason, the Mayor shall thereupon appoint, subject to the advice and consent of Council, the absent member’s successor, who shall serve the remaining unexpired portion of the absent member’s term.

The members of the Commission shall be reimbursed for all reasonable and necessary expenses actually incurred in the performance of their duties. All requests for reimbursement for expenses shall adhere to reimbursement for expenses policies established by the city.

The officers of the Commission shall be President, Vice-President, Secretary and Treasurer; such officers being elected by majority vote of the membership thereof. An elected officer shall hold such position until the expiration of his or her term, which shall be one year, and upon completion of the term of office shall be eligible for reelection to another term of office. If any vacancy occurs in any office, a successor shall be elected by the membership, including the succeeding member that replaces the absent member.

The Commission shall hold meetings at a time and place to be designated by the members thereof; six members being necessary to form a quorum. A majority of votes cast shall be sufficient to decide an issue properly before the Commission. Robert’s Rules of Order shall govern all meetings. An annual meeting will be held in accordance with state codes for nonprofit organizations.
