(A) Meetings. The board shall establish its meeting schedule. Special meetings may be called by the chair or, in her/his absence, by the vice-chair, and special meetings shall be called upon the request of a majority of members of the board.
(B) Attendance. If any member of the Downtown Advisory Board is absent for three (3) consecutive regular meetings without an excused absence being approved by the chair or fails to attend thirty (30) percent or more of the regular meetings within a twelve-month period, such member shall be removed and a replacement made for the unexpired portion of the term.
(C) Compensation. Members of the Downtown Advisory Board shall receive compensation in the amount of $75 per month for the Chairman and $50 per member, per meeting attended, and is reimbursed for all expenses incurred by them in the course of their duties.
