§ 31.37 REMOVAL FROM OFFICE; VACANCIES.
   (A)   Any member of the Commission may be removed from office for just cause and on written charges by a 4/5 vote of the City Council, but the member shall be entitled to a public hearing before the vote is taken.
   (B)   Any member may be removed for non-attendance at Economic Development Authority meetings without action by the City Council according to the rules adopted by the Economic Development Authority in their bylaws. It shall be the duty of the Chairperson of the Commission to notify the City Council promptly of any vacancies occurring in membership, and the City Council shall fill the vacancies within 60 days for the unexpired term of the original appointment.
   (C)   A resignation from the authority shall be in writing and addressed to the Mayor.

§ 31.38 OFFICERS, RULES, EMPLOYEES, SALARIES, AND EXPENSES.
   (A)   The Commission shall elect a Chairperson and Vice Chairperson from among those of its members who are not appointed ex officio, and may create the other offices as it may determine. All members (not including ex officio members) shall be entitled to vote. Terms of all elected offices shall be for 1 year, with eligibility for re-election.
   (B)   The Commission shall adopt bylaws for its governance and for the transaction of its business, and shall keep a record of attendance at its meetings and of resolutions, transactions, findings, and determinations showing the vote of each member of each question requiring a vote, or if absent or abstaining from voting indicating the fact. The records of the Commission shall be public record.
   (C)   Subject to approval of the City Council and within limits set by appropriations or other funds made available, the Commission may employ the staff, technicians, and experts as may be deemed proper, and may incur the other expenses as may be necessary and proper for the conduct of its affairs.

§ 31.39 APPROPRIATIONS, FEES, AND OTHER INCOME.
   (A)   The City Council shall make available to the Commission the appropriations as it may see fit for fees, and expenses necessary in the conduct of its work.
   (B)   The Commission shall have the authority with City Council approval to expend sums so appropriated and other sums made available for its use from grants, gifts, and other sources for the purposes and activities authorized by this subchapter.

§ 31.40 RULES AND PROCEDURES.
   (A)   Half or greater active members of the Board as appointed by the Council shall constitute a quorum for the purpose of conducting the business and exercising the powers of the EDA and for all other purposes, but a smaller number may adjourn from time to time until a quorum is obtained. When a quorum is in attendance, action may be taken by the Commissioners upon a vote of a majority of the Commissioners present. In the absence of a quorum, no official action may be taken by, on behalf of, or in the name of the Board or the Authority.
   (B)   The Economic Development Authority may set such rules and procedures as are necessary for the orderly conduct of its business. Rules and procedures not otherwise adopted or not covered by applicable law shall be governed by Roberts Rules of Order, Revised, as may be necessary for the proper conduct of the business of the Planning Commission.

POLICE DEPARTMENT
§ 31.45 ESTABLISHMENT.
   A Police Department is hereby established. The head of this Department shall be known as the Chief of Police. The budget and any additional members or employees of the Police Department shall be determined by the Council by resolution. The Chief of Police and all members of the Police Department shall have the duties, powers, and authority of police officers generally and shall perform the duties as are required of them by the Mayor or by law. The Chief of Police shall have custody and control of all property of the Police Department. The Chief of Police shall make and file reports as may be required by the Mayor or Council.

§ 31.46 RULES AND REGULATIONS.
   The City Council shall promulgate a manual of rules and regulations pertaining to the operation of the Police Department. A copy of the rules and regulations shall be filed with the Mayor, Chief of Police, and City Clerk-Treasurer.
