(a) Designation of Officers. There shall be a Chairman, Vice Chairman and Secretary of the Commission.
(b) Term of Office and Election. Election of the Chairman, Vice Chairman and Secretary shall be held at the first meeting of each calendar year.
(c) Duties of the Chairman. The Chairman shall preside at all meetings of the Commission. He or she shall have the authority to sign any and all documents or communications authorized to be signed by the Commission. The Chairman shall see that all actions authorized by the Commission are carried into effect and shall perform any and all duties delegated to him or her by the Commission.
(d) Duties of the Vice-Chairman. The Vice-Chairman shall carry out the duties of the Chairman at any time when the Chairman is unable to perform such duties. The Vice- Chairman shall preside at meetings in absence of the Chairman. The Vice-Chairman shall perform any and all duties delegated to him or her by the Commission.
(e) Duties of the Secretary. The Secretary shall keep minutes of all of the meetings of the Commission and shall file written copies of these minutes with the Clerk-Treasurer. The Secretary shall prepare correspondence on behalf of the Commission and shall be authorized to sign such correspondence and other documents as may be authorized and directed by the Commission.
(f) Vacancies. Any officer who fails to attend three consecutive regular meetings of the Commission in any calendar year without prior notice of such absences shall be subject to removal upon the vote of two-thirds of the members of the Commission. Any vacancy created by such removal shall be filled by appointment of Council, upon recommendation of the Commission.
