1111.04 ARCHITECTURAL REVIEW BOARD.
   (a)   Establishment. There is hereby created an Architectural Review Board (ARB), which shall have all the powers and duties prescribed by law and by this Planning and Zoning Code.
   (b)   Membership.  
      (1)   The Architectural Review Board shall consist of five members: the Mayor, the Village Architect, a member of the Village Planning Commission, a member of the Village Council, and an at-large member from the general public who shall either be a resident of the Village or a nonresident who operates or manages a business located in the Village.
      (2)   The Chief Building Official shall serve as an ex officio member but shall have no voting rights on any matter.
      (3)   The ARB members from the Village Planning Commission, Village Council and general public shall be appointed by the Mayor subject to confirmation by Council.
      (4)   The terms of the ARB members from the Village Planning Commission, Village Council and general public shall be two (2) years, but such terms shall cease whenever an ARB member from the Village Planning Commission, Village Council, or at-large resident member no longer resides in the Village or when the at-large nonresident member no longer operates or manages a business in the Village.
      (5)   A vacancy for any expired term shall be filled in the same manner as an original appointment.
      (6)   Each member shall serve until his successor is appointed and qualified. Continued absence of any member from three consecutive regular meetings of the Board, unless excused from a regular meeting by the Mayor, shall be reason to render any such member liable to immediate removal, subject further to confirmation of Council.
      (7)   Compensation. The Architectural Review Board members shall be compensated at a ratefixed from time to time by the Council and authorized by ordinance.
   (c)   Meetings.
      (1)   Chairmanship. The Mayor shall act as Chairman of the Architectural Review Board. In the Mayor's absence, a quorum being present, a temporary Chairperson shall be selected by a majority vote of the members present and who shall preside until the Chairperson appears.
      (2)   Meeting Schedule. The Chairman of the Architectural Review Board, after consultation with the Chief Building Official, shall determine the schedule of regular meetings of the Board in order that applications can be processed expeditiously in accordance with provisions of applicable regulations of this Planning and Zoning Code, provided that special meetings of the Board can be called by the Chairman.
      (3)   Rules. The Board shall organize and adopt rules for its own government, not inconsistent with any provisions of this Planning and Zoning Code or any other applicable regulations of the Village as may be necessary to carry into effect the duties and responsibilities conferred in this Zoning Code.
      (4)   Conflict of Interest. No member of the Board shall participate in the review of any work in which he, his partner or his professional associate has any direct interest, provided that in the event that a review of any work in which a member of the Board, his partner or his professional associate has any direct or indirect interest, is scheduled, then a temporary replacement for such member shall be selected by the Mayor, only for review of the work in question. The temporary replacement, in this case, shall have all of the rights and prerogatives of an appointed member of the Board for the period during which he is engaged in his temporary duty. Upon completion of the review he shall be dismissed and the original member restored to his full authority.
   (d)   Quorum. Three (3) members of the Board shall constitute a quorum at all meetings. A vote of 3 shall be necessary to make decisions, or act on any authorization.
   (e)   Powers and Duties. For the purposes of this Planning and Zoning Code, the Architectural Review Board shall have the following powers and duties:
      (1)   To review and act on all applications as required by this Planning and Zoning Code in order to:
         A.   Protect real estate values and investments within the Village from impairment or destruction of value.
         B.   Maintain a high character of community development, and to ensure the compatibility of new development.
         C.   Protect the value, appearance, and use of property on which buildings are constructed or altered;
         D.   Prevent development that would adversely affect the values of the neighborhood in which it is located and cause depreciation of real estate values and investments as a direct result of unsightly, disharmonious, obnoxious or otherwise undesirable appearance owing to the exterior design of such building or structure.
      (2)   To regulate the design, use of materials, finish grade lines, dimensions, orientation and location of all main and accessory buildings to be erected, moved, altered, remodeled or repaired.
      (3)   To review and act on applications for signs and fences.
      (4)   To review and act on applications for approval to demolish a building or structure in the Village Center Residential District or the Village Center Business District.
      (5)   To establish design policies and guidelines.
      (6)   To perform such other functions as are referred or delegated to it by the Village Council or the Mayor.
