(a) Whenever a vacancy in the office of a Trustee occurs during his term, the vacancy shall be filled for the remainder of the term at the next election of Trustees unless such vacancy is filled by a special election as provided by statute.
(b) During the period from the time that the vacancy occurs until a Trustee is so elected and has qualified, the vacancy may be filled by the appointment of a Trustee by the President and remaining Trustees, voting jointly; provided, that no such action to fill a vacancy may be taken unless the President and each of the remaining Trustees receives written notice that such action will be proposed at the regular or special meeting to be held not less than fourteen (14) days following receipt of said notice; provided, further, that the requirement of said notice may be waived with the unanimous consent of the President and all of the remaining Trustees.
