§ 22.201 APPOINTMENT AND TERMS
   (A)   The commission shall be composed of seven (7) members to be appointed by the mayor pursuant to KRS 91A.360.
   (B)   Vacancies shall be filled in the same manner as original appointments are made.
   (C)   The commissioners shall be appointed for terms of three (3) years; provided, that in making the initial appointments, the mayor shall appoint two (2) commissioners for a term of three (3) years; two (2) commissioners for a term of four (4) years; and three (3) commissioners for a term of one (1) year.

§ 22.202 COMPENSATION
   Each member of the tourist and convention commission shall receive as compensation the sum of seventy-five dollars ($75.00) for each commission meeting attended.

§ 22.203 ORGANIZATION, DUTIES AND RESPONSIBILITIES
   (A)   The commission shall elect from its members a chairman and a treasurer, and may employ such personnel, subject to the provisions of § 22.800, and make such contracts as necessary to carry out the purpose of KRS 91A.350 to 91A.390.
   (B)   The commission shall annually submit to the city council a request for funds for the operation of the commission for the ensuing year, which shall include provisions for the administrative functions and personnel specified in § 22.800, and a report of the operation of the commission during the preceding year.

ARTICLE IV. INDUSTRIAL DEVELOPMENT AUTHORITY
§ 22.300 CREATION
   There is hereby created a non-profit industrial development authority pursuant to KRS 154.50-316 to be known as the Berea Industrial Development Authority.

§ 22.301 APPOINTMENT AND TERMS
   The industrial development authority shall be composed of six (6) members, one of which shall be the mayor. The other five (5) members shall be appointed by the mayor for terms of four (4) years; provided, that in making the initial appointments, the mayor shall appoint two (2) members for terms of four (4) years, one (1) member for a term of three (3) years, one (1) member for a term of two (2) years, and one (1) member for a term of one (1) year. The members of the industrial authority shall reside within the corporate limits of the city, or within three (3) miles thereof.

§ 22.302 ORGANIZATION, DUTIES AND RESPONSIBILITIES
   (A)   The members of the industrial authority shall choose a chairman and a vice-chairman who shall serve for terms of one (1) year. The industrial authority may elect other officers, hold meetings and establish rules and regulations as necessary and proper for the carrying on of its functions.
   (B)   The industrial authority shall have the purposes, duties and powers as specified in KRS 154.50-313 to 154.50-346.
   (C)   The industrial authority shall prepare an operating budget for each fiscal year, and shall submit such budget to the city council for approval not less than two (2) months prior to the commencement of each fiscal year, along with a report of the operation of the authority during the preceding year.

§ 22.303 ASSOCIATE MEMBERSHIP
   The industrial development authority may establish, by such rules and regulations as it may deem proper, a method for private individuals and businesses to be associate members of the industrial development authority by meeting the requirements as may be established by the authority.
