149.01 CREATION OF BUREAU; MEMBERSHIP; BUREAU TO BE CORPORATION.
   (a)   There is hereby created the Village of Barboursville Convention and Visitor’s Bureau. This Bureau shall be a nonstock, nonprofit corporation formed under the corporate laws of the State of West Virginia.
   (b)   The Bureau shall be governed by a Board of Directors consisting of seven members. The Directors shall be distributed as follows:
      (1)   The Mayor or his designee.
      (2)   Two members of Town Council, or designees appointed by Council to act as their designees.
      (3)   Two persons who represent the interests of business owners in the Village who derive a portion of their income from tourism. These persons shall be nominated by the Mayor and approved by Town Council. The first person nominated under this section after the enactment of this article shall be for a term of two years. The second person nominated under this section shall be for a term of four years. This will create overlapping terms of membership. Thereafter, all appointments shall be for a term of four years. Members are eligible for reappointment.
      (4)   Two persons who are citizens of the Village. The first person nominated under this section after the enactment of this article shall be for a term of two years. The second person nominated under this section after the enactment of this article shall be for a term of four years. This will create overlapping terms of membership. Thereafter, all appointments shall be for a term of four years. Members are eligible for reappointment.
      (5)   All persons appointed under the provisions of this section shall serve until their successors shall be duly appointed and qualified.
   (c)   The Bureau shall elect a Chair, Secretary, Treasurer and other officers from among its membership. It shall also adopt bylaws and rules of procedure, which are consistent with this article and with state law. The bylaws and rules of procedure are subject to the approval of Town Council.
