(A) Composition and Terms. There shall be a Parks and Recreation Board which will consist of five members, four members will be appointed by the Mayor subject to approval by Council. One member will be a Council member who will be appointed annually by the Mayor subject to approval of Council. Members of the Park Board serving at the effective date of this Charter shall continue to serve as members of the Park and Recreation Board created by this Charter. The Mayor with Council concurrence will appoint the fifth member of this Board from Council membership. Thereafter, members of the Park and Recreation Board shall be appointed to serve for terms of four (4) years, provided that the initial appointments under this Charter may be for lesser terms of office and in a manner to assure that one member of the Board be appointed each year.
(B) Powers, Duties, and Functions. The Parks and Recreation Board shall promote the development, maintenance, and operation of the parks, playground and recreational facilities and programs of the Municipality; render assistance to and cooperate with organized groups conducting recreation programs, stimulate interest in the care and preservation of public park sites; make recommendations to the Mayor and Council concerning the general state of the municipality's recreation and parks programs and facilities; and perform such other duties and functions as the Mayor and Council shall require by ordinance; provided, however, that the power to acquire, purchase, and accept as donations or to sell, lease, or otherwise dispose of real property for parks and recreation purposes shall be vested in the Mayor and Council.
(C) Chairperson and Secretary. At the first meeting of the Parks and Recreation Board each year, the members of said Board shall elect a chairperson from its membership by a majority vote of its members. The chairperson so elected shall serve at the pleasure of the Board and until a successor is elected. The Clerk of Council shall serve as the recording secretary for the Parks and Recreation Board.
(D) Meetings and Organization. A majority of the members of the Parks and Recreation Board shall constitute a quorum (3 of the 5 members shall be considered a majority), and a majority vote of the members shall be necessary to take action and for the passage of motions. Rules providing for the number and manner of calling meetings and special meetings, and providing for the conduct of meetings may be adopted by a majority vote of Board members.
