§ 32.061 MEMBERSHIP.
   (A)   As authorized by the General Assembly, the Bureau shall be made up of 5 members, at least 1/3 of the members must be individuals who are affiliated with businesses that collect the tax in the town and at least 3/4 of the members must be individuals who are currently active in the promotion of travel and tourism in the town.
   (B)   All appointments will be for a 1-year term. Any vacancy will be filled for the remaining unexpired term. No member shall serve more than 4 consecutive, 1-year terms.
   (C)   The Bureau shall immediately notify the Town Board of any vacancies that arise. The Board of Commissioners shall name a replacement to fill out the vacant term within 60 days of notification.
   (D)   If any member misses 3 consecutive meetings, the TDB may notify the Wilkesboro Board of Commissioners and request that the member be replaced.
   (E)   Any officer can be removed from his or her elected office by 2/3 majority vote of the entire Board.
   (F)   Each member in good standing shall be entitled to 1 vote on each matter submitted to the vote of the members. Assignment of voting privileges is not permitted.
   (G)   The Wilkesboro Town Manager shall serve as a non-voting ex officio member and the immediate past chairman shall serve as a non-voting ex officio member.
   (H)   Members shall serve without compensation but may be reimbursed for expenses in connection with the performance of their duties at the same rate that Wilkesboro Town Government allows.
   (I)   The Bureau shall indemnify any person who was or is a party, or is threatened to be made a party to any civil, criminal, administrative or investigative (other than an action by or in the right of the Bureau) by reason of the fact that he or she is, or was, serving at the request of the Bureau as a member or agent of another corporation or other enterprise, against expenses, including attorney’s fees, judgments, fines and amounts paid in settlement by him or her in connection with that action, suit or proceeding, if acting in good faith and in a manner believed to be in the best interest of the Bureau, and with respect to any criminal action or proceeding, had no reasonable cause to believe his or her action was unlawful.
   (J)   The Bureau shall determine all policies under which the Bureau operates, in accordance with state law and legislation creating the Bureau. The Bureau may contract with any person, firm, corporation or agency to advise and assist it in the development of programs for the promotion of travel, tourism and conventions and may do so as a Bureau upon majority vote of membership present.
