(A) There is hereby established a Board of six Directors who shall be chosen from the residents at- large of the city with reference to their fitness for such office, and who shall be appointed by the Mayor with approval of Council. In addition to the five members chosen as stated above, one Director shall be a member of Council, to be appointed by the Mayor. The Directors shall hold office for five years from July 1, following their appointment until their successors are appointed and qualified; provided, that upon their first appointment one member shall be appointed for one year, one for two years, one for three years, one for four years and one for five years; and thereafter all appointments shall be for terms of five years. Vacancies in the Board shall be immediately reported by the Board to the governing authority and filled by appointment in like manner, and if an unexpired term, for the residue of the term only. The city authority may remove any Director for just cause.
(B) No compensation shall be paid or allowed any Director.
