§ 31.008 BOARD OF DIRECTORS OF THE WATERBURY HOUSING ASSISTANCE PROGRAM, INC.
   In accordance with the provisions of § 6D-1 of the Charter of the city there shall be a Board of Directors of the Waterbury Housing Assistance Program, Inc.
   (A)   Membership, appointments and term of office. Waterbury Housing Assistance Program, Inc., is hereby designated to assume the duties and responsibilities of the housing partnership. The Board of Directors of the Waterbury Housing Assistance Program, Inc., shall consist of 14 members, no more than eight of whom shall be members of the same political party. The Mayor of the City of Waterbury shall serve as one of the 14 members and his term as a member of such Board shall be coterminous with his term as Mayor. Any individual appointed to serve as a member of the Board of Directors of the Waterbury Housing Assistance Program, Inc. prior to the adoption of this section shall continue to serve in such capacity until his successor has been appointed by the Mayor pursuant to this section.
      (1)   Appointments. The Mayor shall appoint the 13 remaining members of the Board during the calendar year in which this section was first adopted and in accordance with the requirements identified in divisions (A)(1)(a) through (A)(1)(k) below.
         (a)   Aldermanic representatives. One member shall be a member of the Board of Aldermen appointed by the Mayor for a term corresponding to said member's immediate term as an Alderman.
         (b)   City Plan Commission. One member shall be a member of the City Plan Commission of the City of Waterbury appointed by the Mayor for a term corresponding to said member's immediate term on said commission.
         (c)   Zoning Commission. One member shall be a member of the Zoning Commission of the City of Waterbury appointed by the Mayor for a term corresponding to said member's immediate term on said commission.
         (d)   Inland Wetlands Commission. One member shall be a member of the Inland Wetlands Commission of the City of Waterbury appointed by the Mayor for a term corresponding to said member's immediate term on said commission.
         (e)   Waterbury Housing Authority. One member shall be a representative of the Waterbury Housing Authority whose term shall expire on December 31, 2009.
         (f)   Waterbury Development Corporation, or its successor organization, acting as the city's community development agency. One member shall be a representative of the Waterbury Development Corporation, acting in the capacity of the city's community development agency, or a representative of any successor organization acting in such capacity at the time of the appointment made hereunder, whose term shall expire on December 31, 2010.
         (g)   Local business community. Two members shall be representatives of the local business community, one whose term shall expire on December 31, 2009 and the other whose term shall expire on December 31,2010.
         (h)   Public interest groups. Two members shall be representatives of the public interest groups, one whose term shall expire on December 31, 2009 and the other whose term shall expire on December 31, 2010.
         (i)   Local urban planning professional. One member shall be a local urban planning professional whose term shall expire on December 31, 2009.
         (j)   Local land use professional. One member shall be a local land use professional whose term shall expire on December 31, 2009.
         (k)   Local housing professional. One member shall be a local housing professional whose term shall expire on December 31, 2009.
      (2)   Term of office. The term expiration dates identified in divisions (A)(1)(e) through (A)(1)(k) above shall apply only to the terms of the appointees appointed by the Mayor during the calendar year in which this section was first adopted, thereafter, their successors shall serve terms of four years each beginning on the day following the original expiration date identified in divisions (A)(1)(e) through (A)(1)(k) above.
   (B)   Organization of the Board of Directors of the Waterbury Housing Assistance Program, Inc. Prior to the year 2010, and during January of 2010, and during January of each even-numbered year thereafter, the Board shall select from among its members a chair and such other officers as it may desire.
      (1)   Secretary and record keeping. The Board shall appoint a secretary to be responsible for all correspondence and record keeping. Said secretary shall forward copies of all goings on of said Board to the City Clerk.
      (2)   Meeting schedule. The Board shall meet on the fourth Wednesday of the month, at 5:00 p.m.
      (3)   Authority and actions of members. No member shall have any authority to act on behalf of the Board except pursuant to an order regularly made at a meeting of said Board.
      (4)   Quorum and voting requirements. Eight members shall constitute a quorum and a concurrent vote of no fewer than eight members shall be necessary for the transaction of business.
      (5)   Public meetings and public participation. All meetings, except executive sessions, as defined in the Connecticut Freedom of Information Act or any successor thereto, shall be public. At the start of each regularly scheduled public meeting the Board shall allot a minimum of 15 minutes for public speaking, with a minimum of three minutes per speaker.
      (6)   Bylaws. The Board shall have the power to adopt its own bylaws for the conduct of its business in accordance with the foregoing.
   (C)   Powers and duties. The powers and duties of the Board shall include the following:
      (1)   To examine and identify housing needs and opportunities in the community and to work with the community, the Department of Economic and Community Development and other state agencies to solve housing problems faced by the community and develop ways to increase the supply and availability of affordable housing in the community;
      (2)   To explore the availability of any state, municipal or other land that is suitable for the development of affordable housing in the community;
      (3)   To review applicable zoning regulations to determine whether such regulations restrict the development of affordable housing in the community and to identify any necessary changes to such regulations;
      (4)   To establish priorities and develop a long-range plan to meet identified housing needs in the community consistent with regional housing needs and to establish procedures for the development of a written proposal to achieve such priorities in accordance with said plan;
      (5)   To start an activity, development or project designed to create additional affordable housing;
      (6)   To serve as the city's reviewing and authorization board of all housing projects utilizing or planning to utilize local, state, federal or other funds which may, from time to time, become available for the purpose of providing affordable housing. Such projects will be reviewed for compliance with the municipal plan of development and its affordable housing component.
   (D)   Aldermanic approval required. No person shall have the right to expend any public funds of the city in carrying out any activities hereunder without the prior and specific approval by the Board of Aldermen nor shall any person have the right to bind the city by contract, agreement or otherwise, without the prior and specific approval of the Board of Aldermen.
   (E)   Successor in interest. The Board, as reconstituted by this chapter, shall replace the previously constituted Board.
