The Plan is not intended to discriminate in favor of officers of the Employer or highly compensated employees (within the meaning of Section 125(e) of the Code) or key employees (within the meaning of Section 416(i)(1) of the Code), and shall be operated and administered in all respects in a manner which does not favor such persons. If, in the judgment of the Plan Administrator, the Plan does not or will not comply with the requirements of this Section or Section 125 of the Code, the Plan Administrator shall select or exclude from participation in the Plan such Participants as shall be necessary to assure that, in the judgment of the Plan Administrator, the Plan thereafter satisfies such requirements.
