144.02 AGREEMENT BETWEEN AGENCY AND SUMMIT COUNTY.
   The following offer of the County Council to the Corporation shall become the agreement contemplated by Ohio R.C. 1724.10 (herein called the Act), when endorsed by authorized officers of the Corporation and two (2) executed counterpart copies are filed with the Clerk of County Council.
Offer of the County Council to the Community Improvement Corporation of Summit, Medina and Portage Counties
   The Community Improvement Corporation of Summit, Medina and Portage Counties (herein called the "Corporation") shall provide services to the County of Summit, Ohio (herein called the "County") including any one or more of the following:
   (a)   Upon mutual agreement between the Corporation and the County, the Corporation shall prepare a plan for the County of industrial, economic, civic, commercial, distribution and research development, and such plan shall provide therein the extent to which the Corporation shall participate as the agency of the County in carrying out such plan. Such plan shall be conformed by the County Council. The Corporation may incur debt, mortgage obligations, for the purpose of acquiring, constructing, improving and equipping buildings, structures and other properties, and acquiring sites therefor, for lease or sale by the Corporation in order to carry out its participation in such plan.
      Any such debt shall be solely that of the Corporation and shall not be secured by the pledge of any moneys received or to be received from any political subdivision. Actions taken under this section shall be in accordance with any applicable planning and zoning regulations.
      This offer may be amended or supplemented from time to time by the parties thereof.
      The Corporation shall promote and encourage the establishment and growth in the County of industrial, economic, civic, commercial, distribution and research facilities.
   (b)   Authorization is hereby granted to the Corporation to sell or to lease any lands or interest in lands owned by the County Council not to be required by the County for the County's purposes, for use determined by the County Council as those that will promote the welfare of the people of the County, stabilize the economy, provide improvement and assist in development of industrial, commercial, distribution and research activities to the benefit of the people of the County and will provide additional opportunities for their gainful employment.
      The County Council shall specify the consideration for such sale or lease and any other terms thereof. Any determinations made by the County Council under this division shall be conclusive. The Corporation, acting through its officers and on behalf and as agent of the County shall execute the necessary instruments, including deeds conveying the title of the County or leases, to accomplish such sale or lease. Such conveyance or lease shall be made without advertising and receipt of bids. A copy of such agreement shall be recorded in the office of the County in which lands or interest in lands to be sold or leased are situated prior to the recording of a deed or lease executed pursuant to such agreement.
   (c)   The County will convey to the Corporation lands and interest in lands owned by the County and determined by the County Council not to be required by the County for its purposes and that such conveyance of land and interests in land will promote the welfare of the people of the County, stabilize the economy, provide employment and assist in the development of industrial, commercial, distribution and research activities to the benefit of the people of the County and to provide additional opportunities for their gainful employment for the consideration and upon the terms established in the agreement, and further, that as the agency for development, the Corporation may acquire from others additional lands or interests in lands and any lands or interest in lands so conveyed by it for uses that will promote the welfare of the people of the County, stabilize the economy, provide employment and assist in the development of industrial, commercial, distribution and research activities required for the people of the County and for their gainful employment.
      Any conveyance or lease by the County to the Corporation shall be made without advertising and receipt of bids. If any lands or interests in land conveyed by the County under this division are sold by the Corporation at a price in excess of the consideration received by the County from the Corporation, any such excess shall be paid to the County, after deducting to the extent and in the manner provided in the agreement the cost of such acquisition and sale, taxes, assessments, costs of maintenance, cost of improvements to the land by the Corporation, service fees and any debt service charges of the Corporation attributable to such land or interests.

   (d)   The Community Improvement Corporation duties shall include the review of projects for which the County is contemplating the issuance of housing bonds.
