149.02 BOARD OF COMMISSIONERS.
   (a)   Composition; Appointment; Terms. All property, powers, duties, management and control of the Historic Landmarks Commission shall be vested in a Board consisting of representatives, to be known as Commissioners. Such Board of Commissioners shall consist of eleven members including the Mayor, Council President and nine Commissioners appointed by Council. The Mayor and Council President shall serve as ex officio members concurrent with his or her respective terms and the appointed Commissioners shall serve for a term of five years, except for the initial appointment, the order to be designated by Council and made as follows:
      (1)   The first Commissioner appointed shall serve for a term of one year from the date of appointment.
      (2)   The second Commissioner appointed shall serve for a term of two years from the date of appointment.
      (3)   The third Commissioner appointed shall serve for a term of three years from the date of appointment.
      (4)   The fourth Commissioner appointed shall serve for a term of four years from the date of appointment.
      (5)   The fifth, sixth, seventh, eighth and ninth Commissioners appointed shall serve for a term of five years from the date of appointment.

   (b)   Vacancies. As the term of each such initial appointee expires, the successor to fill the vacancy created by such expired term shall be appointed for a term of five years. In the event that any commissioner appointed hereunder shall fail or refuse to qualify within twenty days of appointment, or in the event any Commissioner's post becomes vacant for any reason prior to the expiration of his term of office, a successor shall be appointed by
Council to complete the unexpired portion of such term.
   (c)   Compensation. No member of the Board shall receive any compensation for his services as such, but each member shall be reimbursed by the commission for any reasonable and necessary expenses actually incurred in the discharge of his duties as a member of the Board.
   (d)   Quorum; Meetings. The Commission, at its first meeting, shall elect one of its members chairman. Such chairman shall call a meeting of the Commission at his discretion, or any two members may call a meeting. For the purposes of conducting business, a majority of members legally appointed to the Commission shall constitute a quorum.

   (e)   Qualifications. All members of the Board shall be residents of the City.
