A grantee, by the acceptance of a franchise, agrees to defend at its own cost and expense the city, the city council, each member thereof, all officers, agents, employees and members of boards and commissions of the city against any and all claims, demands, actions or proceedings brought against them or any of them, in respect to the matters embraced by the indemnity set forth herein.
