(A) The Gibson Bay Golf Board of Directors shall be composed of seven members.
(B) The Richmond Board of Commissioners shall appoint the members of the Board.
(C) The Board of Directors shall be appointed for terms of four years. Directors shall be able to be reappointed for additional terms.
(D) Vacancies shall be filled in the same manner that original appointments are made. Members appointed to fill vacant positions shall be appointed to fill the unexpired terms.
(E) The Board shall elect from its membership a chairman and secretary.
(F) The Gibson Bay Golf Professional and the Gibson Bay Golf Greens Superintendent shall be ex officio members of the Board.

(H) Appointed members of the Board may be removed by the Board of Commissioners for inefficiency, neglect of duty, absence of three consecutive meetings or conflict of interest.
(I) A member having a financial interest in the outcome of any matter before the Board shall disclose the nature of the interest and shall disqualify himself or herself from voting on the question and shall not be counted for purposes of a quorum as to such questions.
(J) The records of the Board shall be kept in the custody of the Golf Professional and shall be available to the general public.
(K) A simple majority of all members present where there is a properly constituted quorum shall be necessary to transact any official business.
