The town shall indemnify its officials, officers and employees, whether elected or appointed, and hold them harmless from any and all loss, liability or damages incurred when such loss, liability or damage arises directly out of the public responsibilities and/or duties of such official, officer or employee. The indemnification provided for in this section shall not be available in those instances when the loss, liability or damage arises out of the commission of a criminal offense by the subject official, officer or employee.
