(a) The Village Solicitor shall have the duties set forth in the Ohio Revised Code for a Solicitor of a Village.
(b) The Village shall enter into a contract with its Solicitor to enumerate the duties and responsibilities of the Solicitor and to set forth remuneration for the performance of legal services and any such duties and responsibilities.
(c) As part of his/her duties as Village Solicitor, the Solicitor shall be obligated to render legal services on behalf of the Newburgh Heights Community Improvement Corporation ("CIC"), subject to the CIC's approval and waiver of any actual or potential conflict of interest.
(d) In the event that either the Village or the CIC requests that the Solicitor recuse himself/herself from representation of the Village and/or the CIC in connection with any given matter, then the Solicitor shall be required to recuse himself/herself from such representation of both the Village and the CIC with respect to such matter.
