(A) The Mayor, as an incident of the Mayor's official capacity, is hereby confirmed as the designated alternate representative of the village to Ohio Municipal Electric Generation Agency Joint Venture 5 (OMEGA JV5) to act on behalf of the village in the discharge of its rights and obligations as a participant in OMEGA JV5 during such period as the Village Administrator may be unable to represent the village.
(B) The alternate representative of the village so appointed and confirmed, is hereby authorized and empowered, acting for, in the name of and on behalf of the village, and as the village's agent, to exercise all the functions, powers, rights and privileges, and to fulfill the obligations, that the village may have as a Trustee of the Board and as a participant of OMEGA JV5, including without limitation to attend and take part in meetings of the Board and of committees of the Board, to vote on and otherwise act with respect to all matters that may properly come before the Board or any committee of the Board, and to do or cause to be done all acts, and to take all steps as may in each case be, in the opinion of such representative, necessary or desirable in order to represent the village and exercise its functions, powers, rights and privileges, and to fulfill its obligations, as a participant in OMEGA JV5 and to carry out the full intent and purposes of this section and the purposes and power of OMEGA JV5.
(C) The alternative representative will be entitled and is authorized to receive reimbursement from OMEGA JV5 for reasonable out-of-pocket expenses associated with service as alternate representative for the village.
