§ 33.179 BOARD OF DIRECTORS.
   (A)   PANA shall be governed by a Board of Directors which shall be composed of five members appointed by the executive with the advice and consent by a majority vote of the governing body.
   (B)   The executive may at any time remove a director for misfeasance, nonfeasance, or malfeasance in office.
   (C)   At the time of appointment and at all times thereafter, a director must be a resident of the city.
   (D)   The directors first appointed shall serve staggered terms as follows: one director shall serve for a term of one year; one Director shall serve for a term of two years; two Directors shall serve for terms of three years; and one Director shall serve for a term of four years. The executive shall designate the length of term of each initial director. Thereafter each successor shall serve for a term of four years, except that any person appointed to fill a vacancy shall be appointed only to the unexpired term, and any director shall be eligible for reappointment.
   (E)   The directors shall elect one of their membership as chairperson, and another as vice chairperson, shall designate their terms of office, and shall appoint a secretary who need not be a director. A majority of the Board shall constitute a quorum, the affirmative vote of which shall be necessary for any official action to be taken by the Board. No vacancy in the membership of the Board shall impair the rights of a quorum to exercise all the rights and perform all the duties of the Board.
   (F)   Each director shall be entitled to receive from PANA such sum of money as the Board may determine as compensation for the director's service as director and reimbursement for reasonable expenses in the performance of the director's duties.
