234.03 PAYMENT OF ATTORNEYS FEES PROHIBITED; INDEMNIFICATION PROHIBITED.
   (a) Village Council shall not authorize the payment of any legal fees or expenses, nor reimburse or indemnify its employees, officers, and elected officials, for any expense they incur when retaining independent legal counsel, where legal counsel has already been provided by the Village for the purpose of representing the officer, elected official, or employee of the Village in the matter for which independent legal counsel was obtained, and where Council has not previously agreed to reimburse or indemnify the Village officer, elected official, or employee, for the cost of any independent legal services obtained by any such officer, elected official, or employee.
   (b)    Nothing contain in this section shall be construed as limiting in any manner, the Village's duty to indemnify an employee, officer, or agent of the Village, or to provide a defense to any such officer, employee, or elected official of the Village pursuant to the provisions of Ohio R.C. 2744.01.
