146.05   MEETINGS AND RULES.
   (a)   The Architectural and Historic Board of Review shall meet on the first Monday in January of each year that is not a legal holiday and shall elect one of its members as Chairperson, a second member as Vice-Chairperson and a third member as Secretary. The Mayor shall preside over the first meeting. The Board shall hold such meetings, not less than one in any calendar month, as it may determine. The elected Chairperson, and in his or her absence the Vice-Chairperson, shall be responsible for the proper administration of the Board's work. The Secretary shall keep, or cause to be kept, in the Village offices, a complete and accurate record of all meetings and proceedings of the Board.
   (b)   All meetings of the Board shall be open to the public. Four members thereof shall constitute a quorum to review matters put before it, whether or not such members are eligible to vote on all questions. A concurring vote of at least a majority of those eligible to vote and then present is required for any decision made.
   (c)   No member of the Board shall vote on any question in which he or she is engaged as contractor or material dealer or in plans or specifications, or in which he or she has a personal or pecuniary interest. A member shall state his or her reason for not voting and a nonvote will not be considered for or against the question.
   (d)   In order to better carry out the provisions of this chapter, the Board, by formal motion, shall adopt rules for the conduct of its business.
   (e)   Prior to August 31, 1988, Council shall adopt uniform design standards for application to all matters submitted to the Board. Appendices, amendments or supplements to such standards may be initiated by recommendation of the Board to Council for adoption, or by resolution of Council therefor. When initiated by Council, Council shall, upon adoption of such a resolution, certify the proposed appendix, amendment or supplement to the Board for review and recommendation prior to adoption. The Board may, at any time, recommend to Council for consideration any appendix, amendment or supplement it deems appropriate.
   (f)   Prior to September 1, 1991, and each three years thereafter, the Board shall study and review the uniform design standards in light of circumstances then existing and may recommend to Council any addendum, amendment or updating which the Board deems appropriate. If the Board determines that no addendum, amendment or updating is appropriate or necessary, it shall report this fact to Council.
