(A) The Board shall be directed and governed by seven members, four members of which shall be appointed by the City Commission or City Manager with the approval of the City Commission. Two members shall be recommended by the tenants of the building and approved by the City Commission. The Mayor shall be a member of the Board. The City Manager or his or her designate shall be an ex officio member.
(B) The members shall serve for a period of three years from the date of their appointment by the City Commission. In the event a vacancy occurs, new members shall be appointed in the same manner as set forth herein at the next succeeding meeting of the City Commission. The first Board terms shall be two terms of three years, one term of two years and one term of one year. Each new appointment shall be for a three year term. The two members recommended by the tenants shall serve for a period of three years unless otherwise removed by the City Commission.
(C) The Board shall elect one of its members as Chairperson, one of its members as Vice Chairperson and one of its members as Secretary-Treasurer. The election shall occur in July of each year.
(D) The Board shall adopt and may amend bylaws and rules of procedure consonant with the provisions of this subchapter and provide therein for regular meetings of the Board. The meetings shall comply with the Open Meetings Act. The bylaws shall be approved by the City Commission.
(E) The Chairperson shall preside at meetings of the Board. He or she shall do and perform such other duties as may be affixed by the bylaws and from time to time assigned to him or her by the Board.
(F) The Vice-Chairperson shall preside at meetings of the Board in the absence of the Chairperson. He or she shall do and perform such other duties as may be affixed by the bylaws and from time to time assigned to him or her by the Board.
(G) The Secretary-Treasurer shall keep the minutes of all meetings of the Board and of all committees thereof, in books provided for the purpose; he or she shall attend to the giving, serving and receiving of all notices or process of or against the Board; and when so ordered, he or she shall affix the seal of the Board thereto; he or she shall have charge of all books and records, which shall at all reasonable times be open to inspection and examination by the Board or any member thereof, and in general perform all the duties incident to his or her office.
(H) Annual compensation, or per diem compensation, for the Board shall be fixed by the City Commission.
(I) The books and records of the Board and of the officers and agents thereof shall be open to inspection and audit by the city at all reasonable times.
