§ 31.32 HISTORIC PRESERVATION ADVISORY BOARD.
   (A)   Creation.
      (1)   A Historic Preservation Advisory Board is created.
      (2)   The Historic Preservation Advisory Board shall have principal responsibility for matters of historic preservation as set forth in this section and §§ 32.15 through 32.25.
   (B)   Membership. The Historic Preservation Advisory Board shall consist of five members from the town and may include members from the surrounding area.
   (C)   Appointments and terms of office. 
      (1)   Members of the Historic Preservation Advisory Board shall be appointed by the Board of Trustees and shall serve three-year terms.
      (2)   The Board of Trustees shall give reasonable opportunity to interested parties to nominate individuals to serve as members of the Historic Preservation Advisory Board.
      (3)   The initial terms for members shall be one member for a one-year term, two members for a two-year term and two members for a three-year term.
   (D)   Vacancies.
      (1)   Any duly appointed member of the Historic Preservation Advisory Board shall continue to serve until the member’s successor has been appointed.
      (2)   Members may be appointed to serve successive terms without limitation.
      (3)   Appointments to fill vacancies on the Historic Preservation Advisory Board shall be made by the Board of Trustees; provided, however, that the Board of Trustees shall give reasonable opportunity to interested parties along with the Historic Preservation Advisory Board to nominate individuals to serve as members of the Historic Preservation Advisory Board.
   (E)   Compensation; removal.
      (1)   All members of the Historic Preservation Advisory Board shall serve without compensation except for such amounts determined appropriate by the Board of Trustees to offset expenses incurred by Historic Preservation Advisory Board members in the performance of their duties as Historic Preservation Advisory Board members.
      (2)   All members of the Historic Preservation Advisory Board shall serve at the pleasure of the Board of Trustees, and may be removed by the Board of Trustees at any time with or without cause.
   (F)   Quorum and voting.
      (1)   A quorum for the Historic Preservation Advisory Board shall consist of a majority of the members of the Historic Preservation Advisory Board, excluding vacant seats.
      (2)   A quorum is necessary for the Historic Preservation Advisory Board to hold a meeting or to take official action.
      (3)   A roll call vote shall be taken upon the request of any member.
      (4)   A tie vote shall be deemed denial of the motion or recommended action.
   (G)   Officers. The Historic Preservation Advisory Board shall, by majority vote, elect one of its members to serve as Chairperson to preside over the Historic Preservation Advisory Board’s meetings, one member to serve as Vice-Chair and one member to serve as secretary. The members so designated shall serve in these capacities for terms of one year and may serve successive terms.
   (H)   Meetings.
      (1)   The Historic Preservation Advisory Board shall hold meetings as necessary to take action on pending matters.
      (2)   Minutes shall be kept of all Historic Preservation Advisory Board meetings.
      (3)   The Historic Preservation Advisory Board shall comply with all requirements of the State Open Meetings Law (C.R.S. §§ 24-6-401 and 24-6-402 et seq.) applicable to local public bodies.
   (I)   Powers and duties.
      (1)   The Historic Preservation Advisory Board shall:
         (a)   Review applications for designation of sites as being historic pursuant to this section and §§ 32.15 through 32.25 and make recommendations to the Board of Trustees as to whether the Board of Trustees should, by resolution, designate the site based on the criteria in § 32.17;
         (b)   Review and recommend approval or denial of any proposed demolition of, moving of or alteration to historic sites; and
         (c)   As needed, review the criteria for designation of historic sites and make recommendations to the Board of Trustees for amendments thereto which the Historic Preservation Advisory Board believes appropriate or necessary.
      (2)   In addition to the above duties, the Historic Preservation Advisory Board may, at its discretion:
         (a)   Advise and assist owners of historic properties on the physical and financial aspects of preservation, renovation, rehabilitation and reuse, including nomination to the State Register of Historic Properties and National Register of Historic Places;
         (b)   Develop and assist in public education programs including, but not limited to, walking tours, brochures, a marker program of historic properties, lectures and conferences;
         (c)   Conduct surveys of historic sites for the purpose of defining those of historic significance and prioritizing the importance of identified historic sites;
         (d)   Advise the Board of Trustees on matters related to preserving the historic character of the town;
         (e)   Pursue financial assistance for preservation-related programs; and
         (f)   Perform duties or functions as assigned by the Board of Trustees.
   (J)   Rules and procedures for the Historic Preservation Advisory Board. The Historic Preservation Advisory Board may establish additional rules of operation that are consistent with its duties as enumerated herein.
