§ 155.402  ESTABLISHMENT; ORGANIZATION.
   (A)   There is hereby established the Historic Preservation Commission of the City of Frankfort, Indiana (hereinafter referred to as the “Commission”).
   (B)   The Commission shall consist of five voting members, each of whom shall be a resident of the city and interested in the preservation and development of historic areas. The voting members shall be appointed by the Mayor subject to the approval of the Common Council. Nonvoting, advisory member(s) may be appointed to the Commission by the Mayor with approval by the City Council. Commission members shall serve without compensation, except for reasonable out-of-pocket expenses incurred in the performance of their duties.
   (C)   The terms of voting members shall be for three years. However, in order to stagger subsequent terms, the initial voting members of the Commission shall serve for the following terms: one member for one year; two members for two years; and two members for three years. The term for nonvoting, advisory members shall be for three years. A vacancy shall be filled within 90 days for the duration of the term.
   (D)   The Frankfort Building Inspector shall serve as the ex-officio administrator to the Commission. The administrator shall provide staff assistance to the Commission, act as the Commission’s secretary, and issue certificates of appropriateness as directed by the Commission.
   (E)   The Commission shall elect from its members a Chairman and Vice-Chairman who shall serve for one year and who may be re-elected.
   (F)   The Commission shall adopt rules for the transaction of its business not inconsistent with this subchapter. These rules must include the time and place of regular meetings and a procedure for the calling of special meetings.
   (G)   Commission meetings must be open to the public in accordance with Indiana’s Open Door Law and a public record shall be kept of the Commission’s resolutions, proceedings, and actions. The Commission shall hold regular meetings, at least monthly, except when it has no business pending. Special meetings may be called in a manner determined by the Commission and its rules.
   (H)   The Commission is established and this subchapter is enacted pursuant to I.C. 36-7-11-1 through 21, and such statutory provisions shall govern except where specific provisions of this subchapter may conflict with or deviate therefrom, in which case the more restrictive provisions shall apply.
