A provider may not assign or transfer its franchise agreement or competitive video service agreement or any interest therein, without the prior consent of City, which consent shall not be unreasonably withheld; except that the provider may assign or transfer its agreement or any interest therein to its affiliate upon written notice and without prior consent of the City.
