(A) Appointment, composition, term of office, compensation. The governing body shall, by majority vote, appoint five individuals to the Care Center Board who shall all be residents of the county and at least four of whom shall be residents of the village. Each Care Center Board Member shall serve a term of four years and may be reappointed to additional terms by the municipal governing body. The municipal governing body shall appoint individuals to fill vacancies and such appointees shall serve only the unexpired term of the vacated Care Center Board position. No person who is employed by the Care Center or who has an immediate family member who is an employee of the Care Center may serve as a Care Center Board Member. No member of the Village Board can serve on the Care Center Board. The members of the Care Center Board shall, among themselves, elect officers and determine committee responsibilities. Each officer shall serve a term in office of one year, but may be reappointed each year. Members of the Care Center Board shall receive compensation for services rendered on behalf of the Board as set by the Village Board of Trustees. Compensation shall be paid on a monthly basis for meetings actually attended payable at the December meeting each year. Compensation is set in § 34.31 of this code.

(B) Responsibilities. The Care Center Board shall be responsible for the general control and economic and prudent management of the Elwood Care Center. Except as limited herein, the Board shall possess the same powers as could be exercised by the municipal governing body on all matters related to the Elwood Care Center. The Board shall establish operational procedures and policy standards which shall be maintained in a care center procedures manual. The Board shall advise the municipal governing body on matters related to the hiring or dismissal of the Care Center Administrator and the municipal governing body shall make all final decisions. The Care Center Board shall prepare an annual Care Center budget before July 1 of each year, and upon approval of said budget by the municipal governing body, shall be empowered to authorize the expenditure or encumbrance of Care Center funds for amounts less than $50,000. Expenditures and encumbrances in excess of $50,000 shall require the approval of the municipal governing body. The Care Center Board shall not make changes in the rate schedule used in making charges to residents' accounts; except that, the Board may delegate to the Care Center Administrator authority to make allowances on rates to specific residents. The Care Center shall further be required to operate on the same fiscal year as the municipality.

(C) Meetings. The Care Center Board shall meet at least four times per year according to a meeting schedule established by said Board. Special meetings of the Board may be called by the President or by a vote of the Board or upon written request of two members of the Board to the President. The annual meeting of the Board shall be held during the month of June of each year on a day established by the Board. Notice of such meeting shall be published in a newspaper of local circulation. The Secretary shall record the minutes of all regular and special meetings and shall furnish a copy of such record to the municipal governing body within ten days following said meeting. All meetings shall conform to the state's open meeting laws.
