§ 32.06 ECONOMIC BUSINESS DEVELOPMENT COMMITTEE.
   (A)   Generally.
      (1)   Membership.
         (a)   The Economic Development Committee shall consist of seven members, not more than two of whom may be non-residents of the city. Members are as follows:
            1.   One member of the City Council, appointed by the City Council;
            2.   One member of the Planning Commission, appointed by the City Council;
            3.   One member of the Parks Commission, appointed by the City Council;
            4.   One member of the Harbor Commission, appointed by the City Council;
            5.   One member of the Chamber of Commerce, appointed by the Chamber of Commerce;
            6.   One member that is an owner or general manager of a hotel/motel business located within the city, appointed by the City Council; and
            7.   One member that is an owner of a business, other than a hotel/motel, located within the city, appointed by the City Council.
         (b)   The City Councilor who is appointed to the Committee shall be a full member and entitled to vote on all matters, but may not serve as the chair of the Committee. When necessary, the City Councilor shall provide a report to the City Council at a regular City Council meeting.
      (2)   Term of office. The term of office shall be for a period of two years, or until a member’s successor is appointed and qualified; provided however, that members appointed by the City Council shall serve at the pleasure of the City Council.
      (3)   Removal from office. Any member of the Committee may be removed by a majority vote of the City Council at any time without cause.
         (a)   No member shall miss more than three consecutive meetings. Should a member miss three consecutive meetings, a report shall be provided to the City Council.
         (b)   The member shall be removed from the Committee unless the City Council deems the absences as excused.
      (4)   Vacancies in office. Any vacancy in the Committee membership shall be filled by appointment of the appointing body for the unexpired portion of the term.
      (5)   Compensation of members. The members of the Committee shall receive no compensation for services. The City Council may establish policies with respect to reimbursement to Committee members for out-of-pocket expenses; provided however, that until such policies are established, no member of the Committee shall be entitled to any out of pocket expenses.
   (B)   Powers and duties.
      (1)   General powers and duties. The Committee shall have the powers and duties set forth by ordinance or as delegated by the City Council.
      (2)   General purpose. The general purpose of the Committee is to recommend to the City Council actions to improve and enhance the city’s economic and esthetic standing and increase tourism and business by establishing new mechanisms, supporting effective mechanisms already in place, and suggesting actions for consideration of the City Council.
      (3)   Coordination with other governmental bodies. The Committee will work closely with the City Council, County Economic Development Committee, and other economic development committees and agencies when appropriate.
      (4)   Finances. The City Council does not anticipate, at the time of adoption of this section, any requirement for appropriation of monies to the Committee for its operation, with the exception that the city may provide a meeting place and a minimum amount of secretarial support as determined by the City Recorder. This section does not prohibit, should the City Council so authorize, the appropriation or expenditure of monies for the operation of the Committee, provided however, that such authorization is in accordance with Oregon Local Budget Law, being O.R.S. 294.305 to 294.565.
      (5)   Recommendations to City Council. The sole authority of the Committee is to make recommendations to the City Council from time to time, in the Committee’s judgment, which would result in economic development benefit to the residents or the businesses of the city.
      (6)   Reports to City Council. The Committee shall provide a report on its activities to the City Council at a minimum on a quarterly basis. The report is to be presented at the second City Council meeting of the third month of each calendar quarter (March, June, September, and December).
   (C)   Organization of the Committee.
      (1)   Chair and vice-chair. The Committee shall elect a chair and vice-chair from its membership, other than the City Councilor appointed to the Committee. They shall hold office at the pleasure of the Committee. The chair shall preside over all Committee meetings. The vice-chair shall preside over the meetings in the absence of the chair. The chair and/or vice-chair shall perform such other duties on behalf of the Committee as approved by the Committee or as provide by this section.
      (2)   Minutes. Minutes of Committee meetings shall be taken by city staff or by a Committee member as the chair may direct. Minutes of the Committee meetings shall be retained by the city. Any person directed to take minutes of the meeting shall not be entitled to any compensation except in the event the person directed is an employee of the city and the City Recorder authorizes the employee to take the minutes of the Committee meeting.
      (3)   Quorum. A quorum of four members shall be required to conduct business.
      (4)   Voting. The concurrence of a majority of the members present in voting at a Committee meeting shall be necessary to decide any question before the Committee or to make any recommendation of the Committee.
      (5)   Meeting time and place/location of records. The Committee shall meet monthly at a place and time agreed to by the Committee but in any event not less than once each month. Special meetings may be called by the chair or two members of the Committee.
      (6)   Committee procedures. The Committee may make, establish, and alter rules with respect to the Committee procedure consistent with the laws of the state and with the Charter and ordinances of the city.
