165.02 MEMORIAL MUSEUM BOARD.
   (a)   Composition. The Andrew L. Tuttle Memorial Museum Board shall consist of the City Historian and nine at-large members appointed by the Mayor with the advice and consent of Council. At-large appointees shall be resident electors of the City and shall not hold other municipal employment. Service on the Board of Zoning and Building Appeals, Defiance Municipal Library Board, Parks and Recreation Board, Planning Commission, Civil Service Commission, Shade Tree commission, Police Auxiliary, Fire Auxiliary or Human Relations Commission shall not constitute “municipal employment” within the meaning of this section and shall not disqualify an individual for appointment to the Andrew L. Tuttle Memorial Museum Board. Two at-large members shall be appointed for an initial term of one year and two at-large members shall be appointed for an initial term of two years. Except as herein provided, all at- large members shall be appointed for terms of three years. No at-large member shall be appointed to more than three consecutive three year terms.
   (b)   Meetings and Organization. A majority of the Board shall constitute a quorum. All meetings shall be open to the public. At the first meeting of the Board each calendar year, the members shall elect one member Chairperson and another member Vice-Chairperson to serve as Chairperson in the absence of the Chairperson. The Board shall adopt, and from time to time may amend, rules not inconsistent with this chapter governing the conduct of Board meetings. Said rules shall establish the time and place at which not less than two regular meetings shall be held annually and provide for convening special meetings. Rules adopted by the Board shall not permit the conduct of meetings in executive session.
   (c)   Powers and Duties. The Andrew L. Tuttle Memorial Museum Board shall have full power and authority to determine whether an artifact contributes to the advancement of the museum’s mission and shall accession artifacts to and de-accession artifacts from the museum collection. It shall further have full power and authority to loan accessioned artifacts to museums and educational institutions for temporary exhibition or research purposes and to possess, maintain and exhibit artifacts loaned to the Andrew L. Tuttle Memorial Museum by others. In the discharge of these responsibilities, the Board shall act in accordance with the “Code of Ethics for Museums”, adopted by the American Association of Museums, 2000 edition. The Board shall continuously review and periodically report to Council such recommendations as it deems appropriate concerning:
      (1)   Selection and maintenance of facilities to house the Andrew L. Tuttle Memorial Museum collections;
      (2)   Acquisition of artifacts and disposition of artifacts de-accessioned from the museum collection;
      (3)   Establishment of cooperative relationships between the Andrew L. Tuttle Memorial Museum and other museums, schools and institutions of higher education.
   All power to purchase, lease, accept donations or otherwise acquire and to sell, lease, gift or otherwise dispose of personal or real property shall remain vested in Council and the electors shall be exercised only by duly enacted ordinance. All proceeds obtained by the sale or lease of de-accessioned museum artifacts shall be deposited to the Museum Trust Fund.
