(A) There is hereby created in the City of Beech Grove, Indiana, a Department of Economic Development, pursuant to authority as above cited, to be known as the "Beech Grove Economic Development Commission."
(B) The department shall be governed by a Board of five members, to be appointed as follows: One of the members so appointed shall be selected by the Mayor; one shall be selected by the City County Council of Marion County; one shall be selected by the Common Council of the City of Beech Grove; one shall be selected by the Beech Grove City Schools, and one shall be selected by the Economic Development Commission. All Commissioners will be appointed annually, and shall take office upon appointment. All Commissioners appointed serve at the pleasure of the person or board that appointed them. Such Commissioner can be removed at no cause upon written notification. At the expiration of the respective terms of each of the Commissioners originally appointed, their respective successors shall be selected and nominated in the same manner as the original appointee. Each nominee shall be sworn in by the Mayor within 30 days after receiving such nomination, and each succeeding member will serve for a term originally established by this section. In the event any person appointed as Commissioner shall fail to qualify as hereinafter provided within 30 days after the mailing to him of their appointment, or if any member after qualifying shall vacate such office, or be removed as hereinafter provided, a new member shall be chosen and appointed to fill such vacancy in the same manner as provided for the member in respect to whom such vacated term. Such Commissioners shall receive no salaries or expense reimbursement for services provided.
(C) To be a member of the Commission an individual must either be a resident of the City of Beech Grove, work in the City of Beech Grove, own a business in the City of Beech Grove, or be recommended by the Economic Development Commission. If any Commissioner shall cease to qualify for their appointment on such board, they shall be terminated and their office shall become vacant. Each Commissioner, before entering upon their duties, shall take and subscribe an oath of office in the usual form, to be endorsed upon the certificate of their appointment, which shall be promptly filed with the Clerk-Treasurer. The Commission originally appointed shall meet within 30 days after its appointment at a time and place designated by the Mayor of the City of Beech Grove, for the purpose of organization, and shall meet to reorganize in the month of January of the succeeding year. The Commission shall elect one of its members of President, one as Vice-President, one as Secretary, and one as Treasurer, each of which officers shall serve for the day of their election until the 31st day of December next following their election and, until their successor is elected and qualified.
(D) The Commission is authorized to adopt such by-laws, rules and regulations as it may deem necessary for the proper conduct of its proceedings, the carrying out of its duty and the safeguarding of the funds and property placed in its custody. Regular or special meetings shall be held at such time as the Commission may determine and, upon notice as it may fix, either by Resolution or in accordance with the provisions of the by-laws, rules and regulations as adopted. A majority of the Commission shall constitute a quorum and the concurrence of a majority shall be necessary to authorize any action.
(E) As part of the bylaws, minutes shall be recorded and submitted after each meeting to the Clerk-Treasurer of the City of Beech Grove for record keeping purposes.
(F) Said Commission shall have all powers, privileges and duties as provided by the "Municipal Economic Development Act of 1965," and as granted by all acts of the Indiana General Assembly heretofore or hereafter enacted.
(G) The Beech Grove Economic Development Commission shall report any and all transactions and activity on a monthly basis to the fiscal body of the city.
